11o Term.of the Agreement. This Agreement shall commence <br />on the date of the execution hereof and shall continue for a term of <br />three (3) years unless terminated sooner pursuant to the provisions <br />of Section 10 immediately above; provided, however, this Agreement <br />may be terminated by either party hereto at the end of any calendar <br />month after four (4) months Prior written notice to the <br />non-terminating party. <br /> <br /> 12. Assignment. This Agreement may not be assigned, in <br />whole or in part, by Member, without the express written consent of <br />SOLINET. <br /> <br /> 13. Notices. All notices, elections, demands, requests, <br />payments and other communications hereunder shall be in writing, <br />signed by the party making the same, and shall he sent by U.S. Mail, <br />postage prepai~ and addressed to the respective parties hereto at <br />the addresses set forth at the beginning of this Agreement or at <br />such other address as may hereafter be designated in writing by <br />either party hereto. The time and date upon which such mail is <br />postmarked shall be the time and date on which such communication is <br />deemed to have been given. <br /> <br /> 14. Computation of Time. Whenever the last day for the <br />exercise of any privilege or the discharge of any duty hereunder <br />shall fall upon a Saturday, Sunday or public or legal holiday, the <br />party having such privilege or duty shall have until 5:00 P.M. on <br />the next succeeding regular business day to exercise such privilege <br />or to discharge such du~y. <br /> <br /> -13- <br /> <br /> <br />
