Any party shall have the right from time to time to change the address or individual's <br /> attention to which Notices to it shall be sent by giving to the other party at least five (5) days' prior <br /> Notice thereof. <br /> 13. Covenants, Warranties, and Representations. Seller and Buyer each covenants, <br /> represents and warrants (which covenants, representations and warranties shall be true as of the <br /> Effective Date, all during the entire term of this Contract, and at the time of Closing) to the other, <br /> knowing that the other is relying on each such representation,warranty and covenant, as follows: <br /> Of Seller. <br /> a. There are no actions, suits or proceedings pending, or to Seller's knowledge <br /> threatened, against Seller which would affect title to the Property or which would question the <br /> validity or enforceability of this Agreement or of any action taken by Seller under this Agreement, in <br /> any court or before any governmental authority, domestic or foreign. <br /> b. To the best of Seller's knowledge, the execution, delivery and performance <br /> of this Contract by Seller does not and will not result in any violation of, or be in conflict with or <br /> constitute a default under, any provisions of any agreement,judgment, decree, order, statute, rule or <br /> governmental regulation to which Seller is a party or which affects the Property. <br /> C. As of the Effective Date, there are leases affecting the Property (the <br /> "Leases"), which, in furtherance of the provisions of Section 20, shall be terminated on or before the <br /> Closing Date. <br /> d. This Contract as executed by Seller is the valid and binding obligation of <br /> Seller. The execution and delivery of this Contract by Seller and the execution and delivery of the <br /> deed and other documents as are necessary or desirable to effectuate the transaction contemplated by <br /> this Contract are within Seller's capacity. No consent or approval of,prior filing with or notice to, or <br /> other action by, any governmental body or agency, or any other person or entity is required in <br /> connection with the execution and delivery of this Contract by Seller, or the consummation of the <br /> transactions provided for herein. <br /> Of Buyer. <br /> a. Buyer is a body politic and political subdivision of the State of North <br /> Carolina. <br /> b. Buyer has the lawful right, power, authority and capacity to buy the Property <br /> in accordance with the terms,provisions and conditions of this Contract. <br /> C. The execution of and entry into this Contract, the execution and delivery of <br /> the documents and instruments to be executed and delivered by Buyer on the Closing Date, and the <br /> performance by Buyer of Buyer's duties and obligations under this Contract and of all other acts <br /> necessary and appropriate for the full consummation of the purchase and sale of the Property as <br /> contemplated by and provided for in this Contract, are (or will be as the case may be with respect to <br /> future obligations) consistent with and not in violation of, and will not create any adverse condition <br /> under, any contract, agreement or other instrument to which Buyer is a party, any judicial order or <br /> judgment of any nature by which Buyer is bound, or the corporate documents of Buyer; and this <br /> Page 7 of 27 <br /> Attachment number 1 \n <br /> G-4 Page 138 <br />
