STATE OF NORTH CAROLINA ) FRANCHISE AGREEMENT FOR <br /> NON-EMERGENCY AMBULANCE <br /> COUNTY OF CABARRUS ) SERVICES <br /> THIS FRANCHISE AGREEMENT FOR NON-EMERGENCY AMBULANCE <br /> SERVICES ("Agreement") is entered into effective the 1St day of July, 2017 by and <br /> between CABARRUS COUNTY("County") and AMERICAN TRANSMED, INC. a <br /> South Carolina corporation ("Provider"). <br /> RECITALS <br /> I. Pursuant to N.C. Gen. Stat. §153A-250, the County is authorized to enact <br /> an ordinance and to award franchises for operation of a non-emergency ambulance <br /> service. <br /> 2. Pursuant to that authority, the County has enacted Article 82 of its Code of <br /> Ordinances, permitting it to award such a franchise and regulate the operator of the same. <br /> 3. By ordinance duly enacted at its regular meetings on and , <br /> the County's Board of Commissioners approved the awarding of a franchise for non- <br /> emergency ambulance services to Provider, subject to the provisions of the franchise <br /> ordinance, Article 82 of the Code of Ordinances and this Agreement. <br /> In consideration of the above Recitals and the Terms below, which the parties <br /> agree constitute sufficient consideration to make this Agreement legally binding and <br /> enforceable, the parties agree as follows. <br /> TERMS <br /> I. Services and Scope to be Performed. The Provider shall provide <br /> "Services" as set forth in the attached Exhibit A. In this Agreement, Services is defined <br /> as the goods,vehicles, materials, labor, services and/or supplies Provider is required to <br /> provide pursuant to this Agreement and all of the Provider's duties to the County and to <br /> Provider's customers and clients that arise from this Agreement, the franchise ordinance <br /> and Article 82 of the Code of Ordinances. Any amendments, corrections or change <br /> orders by either party must be in writing and signed by both parties. <br /> 2. Term. This Agreement shall commence on the date provided above and <br /> end on June 30, 2018. This Agreement shall not be automatically extended unless agreed <br /> to in writing by the County. <br /> 3. Insurance.
