d) This Agreement shall be construed in accordance with the laws of the state or territory in <br /> which the Property is located,without regard to the principles of conflicts of law. <br /> e) If any term of this Agreement is found to be void or invalid, the remaining terms of this <br /> Agreement shall continue in full force and effect.Any questions of particular interpretation shall be interpreted <br /> as to their fair meaning. <br /> f) Each party hereby represents and warrants to the other that this Agreement has been duly <br /> authorized, executed and delivered by it, and that no consent or approval is required by any lender or other <br /> person or entity in connection with the execution or performance of this Agreement. <br /> g) If either party is represented by any broker or any other leasing agent, such party is <br /> responsible for all commission fee or other payment to such agent. <br /> h) This Agreement and the interests granted herein shall run with the land,and shall be binding <br /> upon and inure to the benefit of the parties,their respective successors,personal representatives and assigns. <br /> i) This Agreement may be executed in any number of counterparts, each of which shall be <br /> deemed an original,but all of which together shall constitute a single instrument.Signed facsimile and electronic <br /> copies of this Agreement shall legally bind the Parties to the same extent as original documents. <br /> 22. Jessica Lunsford Act. Tenant shall abide by the Jessica Lunsford Act,N.C.Gen.Stat.115C-332.1, <br /> which provides that all employers of personnel who have direct interaction with students as part of their job <br /> must conduct an annual check of such employees on the NC Sex Offender and Public Protection Registration <br /> Program,the NC Sexually Violent Predator Registration Program,and the National Sex Offender Registry.Any <br /> employee or subcontracted personnel of Tenant found to be registered on any of the lists identified herein <br /> shall not perform any work under this Lease Agreement and shall not be permitted to enter property owned <br /> by the Kannapolis City Schools. <br /> 23.E-Verify. Tenant shall comply with the Immigration Reform and Control Act and North Carolina <br /> law(Article 2 of Chapter 64 of the North Carolina General Statutes)requiring use of the E-Verify system for <br /> employers who employ twenty-five(25)or more employees in North Carolina,pursuant to N.C.Gen.Stat <br /> 143-133.3,and remain in compliance with these laws at all times while providing services pursuant to this <br /> Lease Agreement. <br /> 24. Iran Divestment Act.
