SPECIAL POST-APPROVAL ADDENDUM <br /> TO <br /> OFFER TO PURCHASE AND CONTRACT <br /> for <br /> 2323 Concord Lake Road <br /> Concord,NC 28025 <br /> PIN 5622-33-3529 <br /> The provisions of this Addendum shall supersede and supplement any conflicting <br /> provisions of the Offer to Purchase and Contract for the above-referenced Property between <br /> Cabarrus County as Seller and Ben&Bella Management, LLC as Buyer. <br /> 1. This Property is being sold"as is,where is",with all faults. <br /> 2. There have been no representations made by the Seller or its agents concerning <br /> the condition of the Property, including any environmental issues or concerning its suitability for <br /> any purpose or use. <br /> 3. There is a 45 day due diligence period from September 18,2017,during which <br /> time Buyer has the ability to inspect and examine the Property and Seller's title to it,and to <br /> decide on or before November 2, 2017 that it will not purchase the Property. Only in that event is <br /> the 5.0%deposit refundable. Failure to close after the expiration of the due diligence period shall <br /> cause the Buyer to forfeit its deposit as provided by the North Carolina law under which this <br /> Property was sold. There is no other right to terminate. <br /> 4. The Clerk to the Board of Commissioners is not an"escrow agent" for purposes <br /> of this Contract. Her duties are defined by North Carolina law relative to sale of local government <br /> property. <br /> 5. The Closing shall occur no later than December 2, 2017. TIME IS OF THE <br /> ESSENCE with regard to this date and the due diligence date. <br /> 6.
