(9) an Escrow Deposit Agreement, proposed to be dated as of March 1, 2015 (the <br />"Escrow Agreement "), between the County and the escrow agent named therein, as escrow agent <br />(the "Escrow Agent "), pursuant to the terms of which the proceeds of (a) the 2015A Limited <br />Obligation Refunding Bonds and /or Certificates, (b) the proceeds of the 2015B Limited <br />Obligation Refunding Bonds and /or Certificates, (c) the proceeds of the 2015C Limited <br />Obligation Refunding Bonds and /or Certificates and (d) the proceeds of the 2015D Limited <br />Obligation Refunding Bonds and /or Certificates, respectively, will be deposited and invested <br />pending disbursement of such funds to refinance the respective prior installment financing <br />contracts; <br />(10) a Preliminary Official Statement to be dated on or about March 3, 2015 (the <br />"Preliminary Official Statement ") which, as supplemented with certain pricing and other <br />permitted omitted information, is to be the Official Statement expected to be dated on or about <br />March 9, 2015 (the "Official Statement "), pursuant to which (a) the 2015A Limited Obligation <br />Refunding Bonds and /or Certificates, (b) the 2015B Limited Obligation Refunding Bonds and /or <br />Certificates, (c) the 2015C Limited Obligation Refunding Bonds and /or Certificates and (d) the <br />2015D Limited Obligation Refunding Bonds and /or Certificates are to be offered and sold to the <br />public; <br />(11) a Contract of Purchase, including the exhibits attached thereto, expected to be <br />dated on or about March 9, 2015 (the "2015A Purchase Contract ") between the Corporation and <br />Piper Jaffray & Co., on its own behalf and as representative of the other underwriters and /or <br />placement agents (if any) named therein (collectively, the "Underwriters and /or Placement <br />Agents "), pursuant to which the Underwriters and /or Placement Agents agree to purchase the <br />4 <br />F -6 <br />Attachment number 1 <br />Page 66 <br />
