JIV 13 1997 <br />AM <br />The name of the corporation is the Carolina Governmental <br />Alliance, Inc. <br />2. <br />The corporation is to have perpetual existence. <br />3. <br />The purposes of the - corporation are to establish an excess <br />liability and property deductible fund for the member <br />agencies and administer the funds accumulated to pay any <br />- excess liability claims and property deductible amouint's that <br />the member' agencies may be legally required to pay leased on <br />the coverage provisions of the fund, and to do all things <br />uecessary to carry out these purposes. <br />The purposes of this corporation are to better serve the <br />important governmental function of protecting member agencies <br />against excess liability claims, property losses, and to save <br />taxpayer's money by establishing a fund to handle excess liability <br />claims and property losses. <br />G. <br />The members of this corporation shall be nonprofit governmental <br />agencies who are required, or desire', to fund excess liability <br />claims and property ]oases and who wish to administer these-funds <br />through a central agency and a professional administrator. The <br />initial members are Cabarrus County and Rowan County. <br />5. <br />This corporation shall be uoastock, nonprofit corporation, <br />organized under Chapter 55A of the General Statutes of North <br />Carolina. <br />Membership in- the corporation shall be limited to those. nonprofit <br />governmental agencies who are required, or desire, to fund excess <br />liability clai and property losses and who wish to do so through <br />a central agency 'administered by a professional administrator. <br />Membership shall not be transferable. Membership in this nonprofit <br />corporation shall be granted by the unanimous vote of the members. <br />6.. <br />The directors of the corporation shall be elected by the members in <br />such manner as is set out in the bylaws. <br />Attachment number 2 \n <br />F -5 Page 140 <br />
