U <br />r' <br />Section G - The Board of Directors shall have power to carry out <br />the objectives and purposes of the corporation and to manage the business <br />and affairs of the corporation and to do all acts necessary and proper <br />and not otherwise prohibited by law or the Articles of Incorporation. <br />Section 5 - The Board shall elect a President, a Vice President, <br />a Secretary, and a Treasurer. <br />Article IV <br />Officers <br />Section 1 - President The President shall preside at all <br />meetings and assume responsibility for all operations of the corporation,' <br />Section 2 - Vice President. The Vice President shall preside in the <br />- absence of the President and perform such duties as may be assigned by <br />the President. <br />Section 3 - Secretary. The Secretary shall issue all notices of <br />meetings of the Directors, shall attend and keep the minutes o.f such <br />meetings, shall be in charge of all corporation hooks, records, and <br />papers, and shall attest with a signature all legal instruments of the <br />corporation. <br />Section 4 -- Treasurer The Treasurer shall have custody of all <br />monies, funds, and properties of the corporation, and shall keep regular <br />books of account. <br />A r V 4 n 1- U <br />Membership <br />The initial member governmental agencies along with their respective <br />appointed Directors shall be members. Additional members may be added <br />upon the unanimous vote of the current members. Any additional members <br />will be required to deposit funds as computed and approved by the Directors. <br />Article VI <br />Funds <br />Section 1 - Depository. of Funds funds of the corporation shall <br />be deposited in such depository as the Directors may determine and shall <br />be withdrawn in such manner and upon the signatures of such officers as <br />the Directors may determine. <br />Page 2 of 3 <br />Attachment number 3 \n <br />F -5 Page 143 <br />
