7. Lease Payments For each year or partial year that this Agreement is <br />in effect, Arts Council and Historic Cabarrus shall each pay in advance the amount of <br />One Dollar ($1.00) as basic rent for the occupancy and use of the Historic Courthouse. <br />At their respective options, Arts Council and Historic Cabarrus can prepay the basic rent <br />for ten (10) years in advance so as not to be in default under this Agreement for failure to <br />pay this nominal annual amount. In the event that any prepaid amount is ultimately owed <br />either leasing party upon the termination of its respective lease term, the County shall <br />refund such amount, after deduction of any amounts owed to the County. <br />8. County Responsibilities The County will be responsible for the <br />following obligations under this Agreement. <br />a) Maintenance and Repair. The County at its expense will maintain <br />the exterior of the Historic Courthouse building and the Grounds. This maintenance and <br />repair responsibility includes the roof, HVAC system, exterior painting, landscaping, <br />lighting and groundskeeping. A schedule for interior cleaning is attached as Exhibit C. <br />In addition, the County at its expense will maintain the interior of the Historic <br />Courthouse. This maintenance and repair responsibility includes the HVAC system, <br />electrical and plumbing lines and fixtures. In any maintenance or repair project, the <br />County will be sensitive to the historic significance of the Historic Courthouse and <br />perform such maintenance or repair work consistent with the existing condition. If <br />necessary, the County will consult with an architect to obtain guidance to make such <br />repair or maintenance consistent with the historical significance of the Historic <br />Courthouse. <br />b) Insurance. The County will maintain liability and casualty <br />insurance on the Historic Courthouse and the Grounds in coverage amounts to be <br />determined in the discretion of the County. Should the Historic Courthouse be damaged <br />by fire or other casualty, the County in its sole discretion shall decide whether to repair <br />the damage. In the event that the County decides not to repair the damage, any party to <br />this Agreement may terminate this Agreement as to it. The County is under no obligation <br />to provide alternative space to either Arts Council or Historic Cabarrus. <br />c) Utilities. The County will be responsible for provision and <br />payment of water, sewer, electrical and natural gas utility services for the Historic <br />Courthouse and the Grounds. The County will not be responsible for provision of <br />Internet or telephone services. <br />9. Tenant Responsibilities Arts Council and Historic Cabarrus will <br />each be responsible for the following obligations under this Agreement. <br />a) Maintenance and Repair. Arts Council and Historic Cabarrus will <br />not commit any waste of the Historic Courthouse and will each pay for any damage to the <br />Historic Courthouse and its improvements and the Grounds caused by such entity and /or <br />its members, patrons and guests. Neither Arts Council nor Historic Cabarrus shall be <br />responsible for any damage or waste committed by the other. <br />b) Alterations. Neither Arts Council nor Historic Cabarrus shall <br />make any change or alteration to the Historic Courthouse or the Grounds without the <br />Attachment number 1 \n <br />E -1 Page 39 <br />
