Breaches and Dispute Resolution <br />Disputes arising which are not resolved by agreement of the parties shall be decided in writing by the <br />Transportation Director of CCTS or authorized representative working in conjunction with the County <br />Attorney. <br />Unless otherwise directed by the Director, the Contractor shall continue performance under this <br />Agreement while matters in dispute are being resolved. <br />The duties and obligations of this Agreement and the rights and remedies available hereunder are in <br />addition to and not a limitation of any duties, obligations, rights and remedies of the law. No action or <br />failure to act by CCTS or The Contractor is not a waiver of any right or duty of this Agreement, nor is it <br />an approval of any breach hereunder unless specifically agreed in writing. <br />Agreement Terms <br />The Contractor will provide transportation in the manner set above and elsewhere in this Agreement for <br />the duration of three years after which remains eligible for a two year extension. A six month <br />probationary period will follow the commencement date. <br />Subject to the provisions for early termination as specified below, the term of this Agreement shall <br />commence and end as stated above unless either party, in good faith, delivers notice of termination in <br />writing to the other party at least 30 days prior to the effective date of the proposed action unless <br />necessitated by a breach of the terms and conditions of this agreement by the Contractor. The <br />agreement must be reviewed each year. <br />Execution of this Agreement does not warrant or guarantee a minimum or maximum amount of service <br />to CCTS. Coordinated decisions are not defined by cost options only. It is understood, analysis of cost <br />and the quality of service are considered in this process of coordination. CCTS reserves the right to <br />waive and/or negotiate any or all elements of the agreement. <br />Termination <br />Failure to comply with any of these provisions may be considered a breach of the Contract and may <br />result in immediate termination.
