C) This Lease shall be binding upon and shall inure to the benefit of the <br />parties and their respective legal representatives and permitted successors and assigns. <br />d) If any provision of this Lease is determined by a court of competent <br />jurisdiction to be illegal or unenforceable, such provision shall be automatically reformed <br />and construed as to be valid, operative and enforceable to the maximum extent permitted <br />by law or equity, while preserving its original intent. The invalidity of any part of this <br />Lease shall not render invalid the remainder of this Lease. <br />e) The execution and delivery of this Lease and the performance of the <br />indicated obligations have been duly authorized by all requisite action required by law <br />governing each party. <br />f) This Lease and the exhibits attached set forth all of the covenants, <br />promises, agreements, conditions and understanding between the City and the County <br />concerning the Leased Premises and the Facility and there are no covenants, promises, <br />agreements, conditions or understandings, either oral or written, between the parties which <br />relate to the Leased Premises or the Facility other than those set forth. Except as herein <br />otherwise provided, no subsequent alteration, amendment, change or addition to this <br />Lease shall be binding upon the City and the County unless reduced to writing and signed <br />by both parties.
