enough specificity for identification purpose and must be labeled or marked as confidential or its
<br />equivalent.
<br />"Customer Data" means (i) any data or information of Customer or its end users that is
<br />provided to or obtained by Motorola or Motorola Personnel in the performance of its obligations
<br />under this Agreement, and (ii) data or information provided by Customer to Motorola which is
<br />entered into any software, equipment or system by or on behalf of Customer, including any such
<br />information as stored in or processed through any equipment, software or system.
<br />"Customer Provided System" means any hardware, software, electronic data storage system,
<br />voice or data circuit, telephony system, other network components and resources, or other
<br />electronic system owned or possessed by Customer that Motorola Personnel or Motorola
<br />Provided Systems must access, connect to, or use in connection with providing the Services.
<br />"Deliverables" means all works, data, object code software and other materials required to be
<br />delivered by Motorola, either alone or with others, pursuant to a given SOW, including all
<br />developments, written reports, requirements documents, specifications, program materials, flow
<br />charts, notes, and outlines, developed in the course of and solely for the purpose of providing the
<br />Services to Customer, all of which shall remain Motorola's Intellectual Property.
<br />"Documentation" means any materials (e.g., user manuals, training manuals, etc.) published or
<br />otherwise made available or provided by Motorola that relate to the functional, operational, or
<br />performance capabilities of the Services or the Motorola Provided Systems.
<br />"Equipment" means the hardware components of the Motorola Provided System.
<br />"Intellectual Property" means any patents and patent applications, know -how, processes,
<br />methods, designs, industrial design rights, trademarks, service marks, trade names, trade dress,
<br />copyrights, mask works, trade secrets, moral rights, inventions and technology (whether or not
<br />patentable), confidential and proprietary information, domain names, software, databases and
<br />other collections and compilations of data, rights of publicity and privacy, and other intellectual
<br />property to which rights are conferred by contract or by any Applicable Law.
<br />"Milestone" means any deadline(s) and schedule(s) for performance set forth in a SOW or any
<br />timeline agreed upon by the parties in writing.
<br />"Motorola Provided System" means any hardware, software, electronic data storage system,
<br />voice or data circuit, telephony system, including subscribers, other network components and
<br />resources, or other electronic system that Motorola uses to provide the Services or to which
<br />Motorola provides Customer access in connection with the Services (excluding, for the
<br />avoidance of doubt, the Customer Provided Systems).
<br />"Personnel" means the directors, officers, employees, partners, agents, advisers, independent
<br />contractors, and subcontractors of a Party and its Affiliates or of another entity, as applicable;
<br />provided that the Personnel of Motorola and its Affiliates shall not be deemed to be Personnel of
<br />Customer.
