4.2 Warranty Disclaimer NEITHER MOTOROLA NOR ITS ASSIGNEES MAKE <br />ANY EXPRESS OR IMPLIED WARRANTIES. ANY EQUIPMENT PROVIDED AS <br />PART OF THE SERVICES IS PROVIDED "AS IS ". ALL IMPLIED WARRANTIES <br />AND COVENANTS, INCLUDING THE IMPLIED WARRANTIES OF <br />MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE <br />HEREBY DISCLAIMED. FURTHER, THE PARTIES AGREE THAT THEY HAVE <br />NOT RELIED ON ANY REPRESENTATIONS MADE OUTSDIDE OF THIS <br />AGREEMENT AND THAT SUCH RELIANCE WOULD NOT BE REASONABLE. <br />4.3 Recommendations Customer acknowledges that the Deliverables may contain <br />recommendations, suggestions or advice from Motorola to Customer (collectively, <br />"recommendations "). Motorola makes no warranties concerning those recommendations, and <br />Customer alone accepts responsibility for choosing whether and how to implement the <br />recommendations and the results to be realized from implementing them. <br />4.4 Customer Support Plan. Unless otherwise agreed to in an SOW, within ninety (90) <br />days days after the execution of any given SOW, Motorola will develop and deliver to Customer <br />a Customer Support Plan ( "CSP ") that documents: (a) the manner in which Motorola will <br />provide the Services under such SOW; and (b) the procedures, including problem escalation <br />procedures, for the interaction of Customer and Motorola with respect to such Services and such <br />SOW. <br />5. ADDITIONAL SERVICES. <br />If Customer requests Motorola to assume additional responsibilities, or perform additional <br />services or tasks that are not included in the existing SOW(s) and require Motorola to provide <br />additional resources of any nature, such services will be added to the applicable SOW in an <br />amendment pursuant to Section 3.4 (Change Order Procedure) along with applicable pricing. <br />6. SOFTWARE LICENSE. <br />6.1 Motorola Software. Use of Motorola owned software and third party software provided <br />by Motorola, as necessary to receive the Services, shall be subject to the Software License <br />Agreement attached hereto as Exhibit B (Software License Agreement). All software licenses <br />shall terminate upon termination of this Agreement or individual SOW. <br />6.2 Other Licenses and Required Consents. Each Party will provide the third -party <br />licenses or Required Consents for which it is responsible to enable performance and use of the <br />Services, Deliverables, Motorola Provided Systems or Customer Provided Systems respectively. <br />7. PROPRIETARY RIGHTS. <br />7.1 Title to Equipment Motorola retains full legal title to, and property in, any Equipment <br />provided to Customer. Equipment shall remain personal property of Motorola regardless of the <br />manner in which Equipment may be attached or affixed to realty. Customer shall do all acts and <br />enter into all agreements necessary to insure that the Equipment remains Motorola's personal <br />Motorola Solutions, Inc.
