assets caused by it and /or its employees, licensees and invitees. This includes but is not <br />limited to the appliances, smart- boards, furniture and partition walls. RCCC shall not <br />use or permit the use of the Space and /or Property in violation of any present or future <br />applicable law of the United States or of the State of North Carolina, or in violation of <br />any present or future applicable municipal or County ordinance or regulation. RCCC, <br />shall not make any alterations or improvements to the Space and /or Property unless it <br />obtains prior written consent of the County. <br />8. LIMITATIONS OF USAGE Notwithstanding any other provision of <br />this Usage Agreement, the County retains the right to set reasonable limitations on <br />RCCC's usage of the Space and /or Property, including but not limited to time parameters, <br />occupancy limits and parking restrictions. The parties also acknowledge that due to the <br />location of the Space in a restricted area within the Sheriff's Administration Building, the <br />County may need to impose other restrictions on the usage of the Space and /or Property <br />due to emergency or exigent circumstances. <br />9. ASSIGNING AND SUBLETTING RCCC shall not sublet the Space or any <br />part thereof nor assign this Usage Agreement. <br />10. RIGHTS OF SUCCESSORS AND ASSIGNS. The covenants and <br />agreements contained in this Usage Agreement shall apply to, inure to the benefit of, <br />and be binding upon the parties and upon their respective successors in interest, except as <br />expressly otherwise provided <br />11. ENTIRE AGREEMENT. This document sets forth all the covenants, <br />promises, agreement, conditions and understandings between the County and RCCC <br />concerning the Space and the Property and there are no covenants, promises, agreements, <br />conditions, or understandings, either oral or written, between them other than as set forth. <br />No subsequent alteration, amendment, change or addition to this Usage Agreement shall <br />be binding upon County and RCCC unless reduced to writing and signed by them. <br />RCCC agrees that County and County's agents have not made any representations or <br />promises with the respect to the Space or the Property. <br />12. SECTION HEADING. The section headings as to the contents of particular <br />sections are inserted only for convenience and are in no way construed as part of such <br />section or as a limitation on the scope of the particular section to which they refer. <br />13. GOVERNING LAW This Usage Agreement shall be governed by, <br />construed and enforced in accordance with the laws of the State of North Carolina. <br />14. GRAMMATICAL USE In constructing this Usage Agreement, feminine or <br />neuter pronouns shall be substituted for those masculine in form and vice versa and plural <br />terms shall be substituted for singular and singular for plural in any place in which <br />context so requires. <br />IN WITNESS, the County has caused this instrument to be executed in its name <br />by its County Manager and attested by its Clerk, pursuant to authority of its Board of <br />Commissioners and RCCC has caused this instrument to be executed in its name by its <br />Attachment number 1 <br />F -4 Page 54 <br />
