Only changes deemed non - material in type at the <br />discretion of the Fund's Executive Director may be made to the Grant Contract without the <br />consent of the Fund's Board of Trustees. <br />2. Exhibit I — Conservation Easements <br />Upon execution and delivery of the Grant Contract, and once the Department of Environment <br />and Natural Resources has notified the Fund that funds for the Grant have been encumbered, and <br />the Grant Recipient has received its counterpart original of the Grant Contract, fully executed <br />and with all dates inserted where indicated on the cover sheet of the Grant Contract, then the <br />Grant Contract will constitute a valid and binding agreement between the Parties, enforceable <br />with the terms thereof. <br />3. Purpose. The purpose of the Grant is for restoration of degraded lands for the protection <br />of water quality, more particularly described on Exhibit A (the "Project "). The Grant may be for <br />Project design, permitting, land and /or conservation easement acquisition for the Project, <br />construction, construction observation, construction contingency, and the Grant Recipient's <br />administrative costs. Grant funds may not be used for the purchase of improvements or debris <br />on any property, or for the removal of improvements or debris on any property, or for any other <br />purpose not set forth herein. Further, Grant funds may not be used for any eminent domain <br />litigation or any action or expenditure related to eminent domain, unless approved by the <br />Fund's Board of Trustees in writing prior to the action. The Board of Trustees shall <br />review requests to use Grant funds for eminent domain action on a case -by -case basis. The <br />Grant Recipient shall provide such requests in writing. <br />4. Fund's Duties. Subject to the appropriation, allocation, and availability to CWMTF of <br />funds for the Project, CWMTF hereby agrees to pay the Grant funds to the Grant Recipient in <br />accordance with the payment procedures set forth herein. <br />(W 5.
