7 <br />AGREEMENT FOR EXTENSION AND <br />SECOND AMENDMENT TO LEASE <br />' THIS AGREEMENT is made and entered into as of the day of January, 2011 by <br />and between KANNAPOLIS LAND, INC. ( "Landlord "), and CABARRUS COUNTY <br />( "Tenant "). <br />BACKGROUND <br />A. Landlord and Tenant are parties to that certain Lease Agreement dated <br />December 1, 1996 for space at 1303 S. Cannon Blvd., Kannapolis, NC 28083 (the <br />"Demised Premises "). The said Lease Agreement was amended and the tern extended <br />by First Amendment dated February 10, 2006. The Lease Agreement and First <br />' Amendment are hereinafter collectively referred to as the "Lease ". <br />B. The current term of the Lease expires May 31, 2012. Tenant has notified <br />Landlord that it desires to exercise its second and final option to extend the tern of the <br />' Lease. <br />NOW, THEREFORE, in consideration of the mutual promises contained herein <br />and other good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, Landlord and Tenant hereby agree as follows: <br />1 <br />1. Extension. Tenant hereby exercises its option to extend the term of the <br />Lease to include the second Extended Term according to the terns and conditions of <br />Section 2(b) of the Lease. The provision of Section 2(b) requiring that the option be <br />exercised not less than eight (8) months but not more than twelve months prior to the <br />expiration bf the preceding Extended Term is hereby waived. <br />2. Maintenance Landlord shall perform the following maintenance and <br />repair work on the Demised Premises: <br />a) Roof — Landlord shall replace approximately 4000 square feet of roofing on <br />the southeast coiner of the building presently occupied by I ealth Alliance; <br />b) Parking Lot — Landlord shall repair several mild depressions in the parking lot <br />in Tract A of the Common Areas; <br />c) Building Fagade — Landlord shall paint arches and columns of the fagade as <br />needed. <br />3. Secure Parking Subject to section 8 of the Lease Agreement, Tenant may <br />construct at its cost a fenced parking area for its vehicles in the location as shown on the <br />attached sketch or in the northwest corner of the existing parking lot.
