STATE OF NORTH CAROLINA <br />COUNTY OF CABARRUS <br />STANDARD CONTRACT <br />This CONTRACT ( "Contract ") is made and entered into as of the 1 st day of July, 2011, <br />by and between CABARRUS COUNTY (the "County ") and GENESIS..A NEW <br />BEGINNING COUNSELING SERVICES (Contractor ") which is a corporation with a <br />place of business in Concord, North Carolina. <br />1. Background and Purposes. Contractor has agreed to assume the duties <br />of the Criminal Justice Partnership Program (CJPP) grant funding <br />available to Cabarrus County. <br />Services and scope to be performed The Contractor shall provide <br />"Services" at the charges set forth in the attached Exhibit A. In this <br />Contract, Service is defined as the materials, labor, services and /or <br />supplies Contractor is required to provide pursuant to this Contract and all <br />of the Contractor's duties to the County that arise from this Contract or by <br />law. An amendments, corrections or change orders by either party must <br />be in writing and signed by both parties. The County reserves the right to <br />refuse payment for any work outside that specifically authorized in this <br />Contract or pursuant to a duly approved amendment or change order. <br />3. Complete Work without Extra Cost Unless otherwise provided, the <br />Contractor shall obtain and provide without additional cost to the County, <br />all labor, materials, equipment, transportation, facilities, services, permits <br />and licenses necessary to perform the Work. <br />4. Compensation The County shall pay the Contractor for the Services as <br />itemized in Exhibit A. Any additional services needed beyond regularly <br />scheduled Services may require additional charges. The County shall not <br />be obligated to pay the Contractor any payments, fees, expenses, or <br />compensation other than those authorized by this Section or authorized <br />by a duly approved amendment or change order. Compensation is based <br />on availability of state funds for this Contract. <br />5. Term This Contract shall commence on July 1, 2011 through June 30, <br />2012. This Contract shall not be automatically extended unless agreed to <br />in writing by the County or unless otherwise provided in Exhibit A. <br />6. Contractor's Billings to County Payments will be made in accordance <br />as stated in Exhibit A. Contractor shall submit an invoice to the County <br />Finance Department. Upon receipt of the pay request the County Finance <br />Department will verify the amounts and if correct, will pay the correct <br />amount to Contractor within two (2) weeks of verification. Final payment <br />shall be made to the Contractor within thirty (30) days after all work has <br />been fully completed and verified by the County official responsible for the <br />type of Services provided by Contractor. <br />7.
