REDACTION SERVICES AGREEMENT This redaction services agreement between Logan Systems, Inc. ( "Logan Systems ") and Cabarrus County, North Carolina (the "County ") will become effective this day of , 2010. The respective parties may sign this agreement at different times. Therefore, the effective date shall be the date that the second party signs the document, as indicated by the signature dates on the last page of this agreement. Pursuant to the terms outlined below, Logan Systems agrees to provide redaction services for land records to the Cabarrus County Register of Deeds ( "ROD "). I. Terms 1. Images to be Redacted (Back file): Logan Systems will redact all land record images from January 1, 1935 through May 31, 2010. 2. Total estimated number of images The estimated number of images to be redacted is 3,882,635. This includes deed /record books 132 -9176 and deed of trust books 87 -807. 3. Redaction limited to Social Security and Drivers License Numbers on the Internet site: Pursuant to North Carolina law, Logan Systems will utilize optical character recognition ( "OCR") based technologies to redact social security numbers and drivers license numbers on the deed, record, and deed of trust books listed above. Logan Systems will only redact these numbers on the copy of data made available to the public on the ROD's Internet site. The copy of the images made available as the official record in the ROD's office will not be redacted. 4. Time Frame of Conversion Logan Systems anticipates that this redaction conversion will be completed within 180 days from approval by both parties of this agreement. 5. Day Forward Redaction This agreement covers the redaction of images filed prior to May 31, 2010. For images filed on or after this date, Logan Systems will redact these images on a periodic basis for no additional fee so long as the ROD's office is currently a customer of Logan Systems and is paying for Internet/remote access services. Logan Systems will complete this redaction at least every three months. 6. Integration Clause This contract represents the entire agreement regarding redaction between the parties. Any modification or alteration of this agreement must be done so in writing and approved by both parties. 7. Severability The provisions of this agreement are severable, and should any court of competent jurisdiction deem any provision(s) invalid, the remaining provisions will remain valid, unless such ruling will make further performance under the agreement impossible or impose an unconscionable burden upon one of the parties.
