Debarment and Suspensions <br />This contract is a covered transaction for purposes of 2 CFR Part 1200, which adopts and <br />supplements the provisions of U.S. Office of Management and Budget (U.S. OMB) "Guidelines to <br />Agencies on Government wide Debarment and Suspension (Nonprocurement)," 2 CFR Part 180. As <br />such, the Contractor is required to verify that none of the Contractor, its principals, as defined at 2 <br />CFR 180.995, or affiliates, as defined at 2 CFR 180.905, are excluded or disqualified as defined at 2 <br />CFR 180.940, 180.935 and 180.945. <br />The Contractor is required to comply with 2 CFR 180, Subpart C and must include the requirement to <br />comply with 2 CFR 180, Subpart C in any lower tier covered transaction, such as a subcontract, it <br />enters into. <br />By signing and submitting its bid or offer, the Contractor certifies as follows: <br />The certification in this clause is a material representation of fact relied upon by the Procuring <br />Agency. If it is later determined that the Contractor knowingly rendered an erroneous certification, in <br />addition to remedies available to Procuring Agency, the Federal Government may pursue available <br />remedies, including but not limited to suspension and /or debarment. The Contractor agrees to comply <br />with the requirements of 2 CFR 180, Subpart C while this offer is valid and throughout the period of <br />any contract that may arise from this offer. The Contractor further agrees to include a provision <br />requiring such compliance in its subcontract transactions. <br />The Procuring Agency agrees and assures that its third party Contractors and lessees will review the <br />"Excluded Parties Listing System" at http: / /epis.gov/ before entering into any subagreement, lease or <br />third party contract. <br />The Procuring Agency will be reviewing all third party Contractors under the Excluded Parties Listing <br />System at htta: /Ieols.00v/ before entering into any contracts. <br />The requisite Debarment and Suspension Certification is included as APPENDIX B (attach <br />additional statement if necessary) and must be executed for contracts of $25,000 or more and <br />prior to the award of the contract Since this is a cost reimbursement contract and there is no <br />fixed amount, all Contractors will be required to sign APPENDIX B. <br />16. Termination or Cancellation of Contract <br />The Owner, by written notice, may terminate this contract, in whole or in part, when it is in the best <br />interest of the project. If this contract is terminated, the Owner shall be liable only for payment under <br />the payment provisions of this contract for services rendered before the effective date of termination. <br />The Owner may terminate this contract in whole or In part, for the Owner's convenience or because of <br />the failure of the Contractor to fulfill the contract obligations. The Owner shall terminate by delivering to <br />the Contractor a Notice of Termination specifying the nature, extent, and effective date of the <br />termination.
