<br />INCENTIVE GRANT AGREEMENT
<br />COUNTY OF CABARRUS (American Communications
<br />Network, Inc. - "ACN ")
<br />THIS AGREEMENT (the "Agreement ") is made and entered as of the day
<br />of , 2010, by and between CABARRUS COUNTY, a body politic and
<br />political subdivision of the State of North Carolina ( "County "), and LKN GLOBAL
<br />HOLDINGS, INC., a Delaware corporation, LKN HEALTH AND LIFE SCIENCES,
<br />INC. a Delaware corporation, LKN COMMUNICATIONS, INC. (aka ACN, INC. and
<br />AMERICAN COMMUNICATIONS NETWORK, INC.), a Michigan corporation, ACN
<br />COMMUNICATION SERVICES, INC. a Michigan corporation, ACN
<br />COMMUNICATION SERVICES VIRGINIA, LLC, a Delaware limited liability
<br />company, ACN DIGITAL PHONE SERVICE, LLC, a Delaware limited liability
<br />company, ACN DIGITAL PHONE SERVICE PUERTO RICO, LLC, a Delaware limited
<br />liability company, ACN INTERNET SERVICES, INC., a Michigan corporation, ACN
<br />INTERNATIONAL, INC., a Michigan corporation, ACN ENTERPRISES, INC., a
<br />Michigan corporation, ACN TRAVEL, INC., a Michigan corporation, PROGRESS
<br />PLACE CAPITAL PARTNERS, LLC, a Delaware limited liability company, MANNA
<br />HOLDINGS, LLC, a Delaware limited liability company, (collectively "Grantees ").
<br />RECITALS
<br />1. Grantees have relocated their corporate headquarters facility into County
<br />(the "Facility ") by purchasing and renovating an existing building in County (the "Real
<br />Property ") and by purchasing and installing furniture, fixtures and equipment in the
<br />Facility (the "New Investment ").
<br />2. On January 1, 2004, the County had previously adopted an Industrial
<br />Development Grant Program (the "Program "), a copy of which is attached as Exhibit A
<br />and incorporated by reference, the public purpose of which is to encourage economic
<br />growth and development within the County. The County has waived certain specific
<br />provisions of the Program as it relates to the Grant percentage, the number of Grant years
<br />and the time for making the New Investment.
<br />3. Cabarrus Economic Development, Inc. (the "EDC ") has reviewed the
<br />Grantees' application for inclusion in the Program and has recommended approval of this
<br />Agreement.
<br />4. Grantees have determined that relocation of their operations into the
<br />Windstream /CTC building on Progress Place in Concord, North Carolina (the "Site ") in
<br />the County is a suitable location for the Facility and the New Investment.
<br />5. To induce Grantees to locate the New Investment in the Facility at the Site
<br />and to assist Grantees in that activity, the County has offered incentives to Grantees
<br />consistent with the Program.
