<br />ARTICLE 3 <br />ADDITIONAL RENT AND OTHER PAYMENTS <br />3.1 Additional Rent. Tenant shall pay to Landlord absolutely throughout the Term additional <br />rent (the "Additional Rent")asset forth in Sections 3.1.1 and 3.1.2, 3.1.3, 3, 3.1.4, 3.2 and 3.5 hereinafter. <br />Landlord shall bill Tenant monthly for such Additional Rent. Additional Rent shall be an amount equal to <br />a fraction of property taxes, utilities, common area maintenance, and property insurance. Such fraction <br />shall have as its numerator the floor area of the Premises and shall have as its denominator the floor area <br />of the Building at the time such taxes, utilities, maintenance costs or insurance shall become due and <br />payable (the "Prorata Share"). Landlord shall bill Tenant monthly for such Additional Rent, and Tenant <br />agrees to pay such bills rendered by Landlord within fifteen (15) days after the mailing thereof by <br />Landlord. For the purpose of this Section 3.1, "floor area" shall be deemed to mean the actual number <br />of square feet of floor space within the interior walls without deduction or exclusion for any space <br />occupied by or used by columns, stairs or other interior construction or equipment. For purposes of <br />Section 3.1.1 (i) "Property Taxes" shall mean the levy, assessment or imposition of any tax on the <br />Building (including the real property) and all improvements of a real property nature located thereon; <br />"Common Area Maintenance" shall mean the charges, costs and expenses which are incurred by the <br />Landlord including without limitation: cleaning, window washing, landscaping, lighting, HVAC <br />maintenanceā painting, repairs and replacing concrete or asphalt parking driveways or parking areas; <br />maintaining, repairing and replacing, cleaning, lighting, removing snow and ice, painting and landscaping <br />of all vehicle parking spaces and other outdoor common areas, including any identification and <br />directional signs; security; removing trash and garbage; cleaning supplies, water and sewer charges; gas; <br />electricity, equipment repairs, reasonable depreciation of common areas and equipment used in operating <br />and maintaining the common areas and rent paid for leasing such equipment and other operating <br />expenses attributable to the Building under general accounting principals; and "Landlord Insurance" shall <br />mean the insurance carried by Landlord pursuant to Section 3.1.4 of this Lease. <br />3.1.1 Property Taxes. Tenant shall pay as Additional Rent its Prorata Share for Property <br />Taxes assessed against Landlord based upon the most recent property tax assessment and rates but <br />shall be adjusted for any changes in such assessment or rates once known. <br />3.1.2 Utilities. Tenant shall pay as Additional Rent its Prorata Share for gas, water, <br />sewage disposal, cable television, electricity, light, gas, or similar service used, (the "Utilities") <br />rendered or supplied upon or in connection with the Premises during the Term of this Lease. <br />3.1.3 Common Area Maintenance. Tenant shall pay as Additional Rent its Prorata Share <br />of the costs to Landlord for Common Area Maintenance. <br />3.1.4 Property Insurance. Tenant shall pay as Additional Rent its Prorata Share of the <br />costs to Landlord of insurance obtained by Landlord in respect of the Premises or any portion <br />thereof in such amounts as either may be required by Landlord's lender or that may be normal or <br />customary for buildings similar to the Building in which the Premises is located. Landlord shall <br />maintain "all risk" coverage on a full replacement cost basis covering the Building (other than any <br />interior improvements made by Tenant) as it exists on the Commencement Date and such other <br />insurance in such amounts covering such other liabilities or hazards as deemed appropriate by <br />Landlord.
