1 Carpo~ ate Purchasing Agreement Conrdential Pas;e 11 with the provisions set forth below. With respect to Personal Information that is also Proprietary information, the following obligations shall be in addition to the obligations set forth above (the Parties agreeing that in the event of any conflict, the provision affording the greater protection to the information shall control): 14.5.1 Pursuant to this Agreement, Buyer may receive or have access to Personal Information in Supplier's possession, with respect to which Supplier has made certain commitments regarding data privacy, confidentiality, and security; 14.5.2 Buyer shall obtain no title or other property rights in the Personal Information; 14.5.3 Buyer shall only use the Personal Information for the purpose of this Agreement. Buyer shall only use or disclose the Personal Information as necessary to perform this Agreement, or pursuant to the unambiguous prior consent of the individual (for which Buyer has the responsibility of obtaining), or as otherwise required by law. If pursuant to this Agreement, Buyer transfers Personal Information to any third party, Buyer shall supply Supplier with the identity of the proposed recipient, and the recipient shall be required to adhere to the provisions of this Section 14. If Buyer collects additional Personal Information from an individual pursuant to this Agreement, then Buyer's collection, use, and disclosure of such Personal Information shall be pursuant to the prior unambiguous consent of the individual (for which Buyer shall have the responsibility of obtaining}; 14.5.4 Buyer shall implement reasonable precautions to protect the Personal Information from loss; misuse; and unauthorized access, disclosure, alteration, or destruction. Buyer shall promptly report to Supplier any improper or prohibited use or disclosure of the Personal Information of which it becomes aware; 14.5.5 The Personal Information shall be promptly and irretrievably deleted once it is no longer needed to perform this Agreement. In no event shall the Personal Information be retained after the expiration or termination of this Agreement; 14.5.6 If Supplier reasonably determines that Buyer has violated a material term of this Section 14, Supplier may terminate this Agreement by giving Buyer thirty (30) Calendar Days' prior written notice; and 14.5.7 Buyer's obligations under this Section 14 shall survive the expiration or termination of this Agreement. 15.0 PUBLICITY, PRESS RELEASES AND ADVERTISEMENTS. 15.1 Publici Without limiting any confidentiality obligations of either Party set forth in this Agreement, each party shall not advertise, market, disclose or otherwise make known to others any information relating to any terms of this Agreement, the existence of this Agreement, or the existence of a relationship with the other Party, including mentioning or implying the name of the other Party, or any of its Affiliates, subsidiaries or personnel, without the prior written consent of the other Party which consent may be given or withheld in the other Party's sole discretion, except that neither Party may disclose such information as may be required under applicable law without such consent from the other Party. 15.2 Press Releases and Advertisements. Neither Party shall without the prior written consent of the other, issue press releases, marketing literature, public statements, or in any way engage in any other form of public disclosure relating to this Agreement or Buyer's relationship with Supplier.
