contract documents are incorporated by reference in this document. All of these <br />items together form the Contract. <br />B. The Owner is Cabarrus County. <br />C. The Architect is and means Yates-Chreitzberg-Hughes Architects, P.A., which <br />firm is providing the architects or engineers or both (and their consultants) which have <br />undertaken to design the Project and to provide Project construction administration <br />during the course of the construction pursuant to a contract with the Owner. <br />D. The Construction Manager at Risk or CM, as those terms may be used <br />interchangeably, means and refers to CM Black Construction Company, Inc., licensed as a <br />general contractor, who is the Owner's fiduciary responsible for undertaking all <br />necessary action contemplated under the Contract Documents to (a) establish a <br />Guaranteed Maximum Price (GMP) for the construction of the Project; and (b) to ensure <br />timely and quality completion of the Project at a cost within the GMP and within the <br />contract completion time. <br />E. A Subcontractor, as the term is used herein, shall be a party with whom or <br />through whom the CM has entered into a contract to provide labor, materials or <br />equipment for any part of the Work. <br />F. Work, as used herein as a noun, is intended to include materials, labor, <br />workmanship and equipment of the appropriate contractor for the construction of the <br />Project. <br />G. Cost of Work is and refers to the total amount to be paid to third party <br />laborers, equipment and material suppliers for the performance of the work. <br />H. The Project is the total construction Work to be performed under the Contract <br />Documents. <br />I. Change Order, as used herein, shall mean a written order to the CM <br />subsequent to the signing of the Contract authorizing a change in the Contract. The <br />change order shall be signed by the CM, architect, and Owner, in that order. <br />J. Field Order, as used herein, shall mean a written approval from the CM to <br />proceed with the Work requested by the Owner prior to issuance of a formal <br />Change Order. The Field Order shall be signed by the CM, the Architect, and the <br />Owner, in that order. <br />K. Guaranteed Maximum Price, or GMP, is the total cost for the labor, <br />materials and equipment to be used in the construction of the Project as reflected in the <br />sum of all of the Subcontractor contracts; the CM Fee (as hereinafter described); the <br />Contingency (as hereinafter described); and the General Conditions reimbursement (as <br />hereinafter described). <br />4 <br />F-4 <br />Attachment number 1 <br />Page 150 of 627 <br />
