VI. Remedies <br />The parties hereto acknowledge and agree that in the event of any breach of this Memorandum, <br />the aggrieved party shall be entitled to all remedies available at law or in equity, including but <br />not limited to specific performance. <br />VII. Binding Agreement <br />This Memorandum is a binding agreement that all parties have entered into freely and in good <br />faith. <br />VIII. Term and Amendment <br />This Memorandum shall remain in full force and effect until the conveyance of fee simple title <br />and easement title to the Old ROW to CMS is completed.
