The e-NC may serve as custodian of GR.ANTEE's confidential information and not as an arbiter of claims against GRANTEE'S assertion of eonfidentialiry. If an action is brought pursuant to N.C. Gen. Stet. § 132-9 to compel disclosure information marked confidential; the GRANTEE agrees that it Will intervene in the action through its counsel and participate in defending the a-NC, including any public official(s) or public employee(s). The a-NC agrees to promptly nofify the GRANTEE in writing ofany action seeking to compel the disclosure of GRANTEE'S confidential information. The e-NC shall have the right, at its option and expense, to participate in the defense of the action through its counsel. The a-NC shall have no liability to GRANTEE With respect to the disclosure of GRANTEE'S confidential information ordered by a court of competent jurisdiction pursuant to N,C.
