ADDENDUM TO FUEL CHARGE CARD AGREEMENT BETWEEN W RIGHT EXPRESS FINANCIAL SERVICES CORPORATION AND THE STATE OF NORTH CAROLINA Definitions: "Agreement" means: Contract No. 405G dated November 1.2007 for Credit Card, Motor Fleet Gas (the "Agreement") between the State of North Carolina, Department of Administration, Division of Purchase and Contract ("North Carolina")and Wright Express Financial Services Corporation ("WEX FSC"). "Contracting Agency" shall mean the State of North Carolina State Agencies, North Carolina State Universities, and/or Political Subdivisions of North Carolina such as city and county governments and community college districts authorized by statute or the State of North Carolina, Department of Administration to purchase services under the Agreement, specifically: All other capitalized terms used in this Addendum without definition have the meanings set forth in the Agreement. Agreements of WEX FSC and Contractinc Aoencv: 1. Contracting Agency represents that it is authorized by the laws of the State of North Carolina to enter into this Addendum and to participate under the Agreement. As such, the Contracting Agency may take advantage of all features and services related to the Card Program as set forth in the Agreement which may include the completion of an enrollment form and agreement to specific terms related to that feature prior to such use. 2. Contracting Agency hereby requests the services of WEX FSC described in the Agreement and agrees to perform alt duties of a Contracting Agency under the Agreement, including, without limitation, payment of all charges on its account(s) within the time periods provided under the Agreement, payment of any fees provided in the Agreement, and cooperation with respect to providing all necessary information for the administration of the Agreement. Contracting Agency agrees to be bound by the terms and conditions of the Agreement, including, without limitation, rules for authorized and unauthorized use of cards, disputes of charges, reporting lost and stolen cards, and all other rules and provisions relating to use,~of Contracting Agency's account. 3. Contracting Agency acknowledges that its failure to make timely payment in accordance with the terms of the Agreement and/or the Addendum may result in suspension or cancellation of the account(s). The undersigned represents and warrants that he/she is duly authorized to execute this Addendum on behalf of the Contracting Agency and this Addendum is the valid and binding obligation of the Contracting Agency, enforceable in accordance with its terms. 5. Contracting Agency acknowledges that this Agreement will not be binding and effective until WEX FSC has reviewed and approved credit for the Contracting Agency.
