The section headings contained herein are for reference purposes only and shall, not in any way affect the meaning and interpretation of this Agreement. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original copy of this Agreement, and all of which, when taken together, shall be deemed to constitute but one and the same agreement. 13.11 Saverability. The invalidity or unenforeeability of any particular provision, or part of auy pro- vision, of this Agreement shall not affect the other provisions or parts hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable provisions or parts ware omitted. 13.12 Non-Waiver. A failureby either party to take any action with respect to any default or violation by the other of azry of the terms, covenants, or conditions of this Agreement shall not is airy re- apectlimit,prejudice, diminish, or constitute a waiver of any rights of such party to act with re- spect to any prior, contemporaneous, or subsequent violation or default oz with respect to any continuation or repetitiop of the original violation or default. 13.13 o an Wherever the consent or approval of a party is required ender the terms of this Agreement, the party whose consent or approval is requited shall not unreasonably withhold, condition or delay such consent or approval 13.14 Certain Rrmreaentations and Warranties.
