EXTRACT FROM MINUTES OF BOARD OF COMMISSIONERS OF <br />THE COUNTY OF CABARRUS, NORTH CAROLINA <br />The Board of Commissioners for the County of Cabarrus, North Carolina, met in regular <br />session in the Commissioners' Meeting Room in the Cabarrus County Governmental Center in <br />Concord, North Carolina, the regular place of meeting, at 6:30 p.m., on August 18, 2008, with <br />Chairman, presiding. The following Commissioners were: <br />PRESENT: <br />ABSENT: <br />ALSO PRESENT: <br /> <br />RESOLUTION APPROVING AMENDMENT OF EXISTING DEED OF <br />TRUST SECURING PRIOR INSTALLMENT CONTRACT FINANCING AND <br />RELATED CABARRUS COUNTY DEVELOPMENT CORPORATION <br />CERTIFICATES OF PARTICIPATION, SERIES 2007, AUTHORIZING THE <br />EXECUTION AND DELIVERY OF RELATED DOCUMENTS IN <br />CONNECTION THEREWITH, AND PROVIDING FOR CERTAIN OTHER <br />RELATED MATTERS <br />WHEREAS, the Cabarrus County Development Corporation (the "Corporation") has <br />previously executed and delivered the Certificates of Participation (County of Cabarrus, North <br />Carolina Installment Financing Contract), Series 2007, dated as of February 22, 2007, (the "2007 <br />Certificates"), which 2007 Certificates evidence proportionate undivided interests in the right to <br />receive certain revenues pursuant to an Installment Financing Contract, dated as of February 1, <br />2007 (the "Contract"), between the Corporation and the County of Cabarrus, North Carolina (the <br />"County"). <br />C'- I2. <br />
