agrees to indemnify and hold Seller harmless from any claims of brokers or real estate agents claiming <br />by, through or under Buyer for fees or commissions arising out of the sale of the Property to Buyer. <br />11. ASSIGNMENT. This Agreement and the rights, duties, interests, and obligations of <br />Buyer hereunder may be assigned by Buyer to related or affiliated entities. If such assignment is made, <br />then the sale of the Property contemplated by this Agreement will be consummated in the name of any <br />such assignee, and, after any such assignment, Seller will look. solely to such assignee .for the <br />performance and discharge of all the obligations and liabilities of Buyer hereunder, Buyer being relieved <br />of any obligation and liability hereunder. Any other assignment of this Agreement by Buyer shall require <br />the prior written consent of Seller, which consent shall not be unreasonably withheld, conditioned or <br />delayed. <br />12. NOTICES. Any notices, demands, requests or other communications required or <br />permitted to be given hereunder shall be in writing and shall be delivered in person, delivered by a <br />nationally recognized overnight courier service (subject to a written confirmation thereof] or delivered by <br />mail by United States registered or certified mail, return receipt requested, postage prepaid and addressed <br />to each party at its address as set forth below: <br />To Seller: Archie E. Runkel <br />Any such notice, request or other communication shall be considered given or delivered, as the <br />case may be, on the date of delivery in person or the date deposited for overnight courier delivery or upon <br />deposit in the United States mail as provided above. Rejection or other refusal to accept or inability to <br />deliver because of changed address of which no notice was given shall be deemed to be receipt of the <br />notice, request or other communication. By giving at least ten (10) days prior written notice thereof, <br />either party may from time to time at any time change its mailing address hereunder. <br />13. DESTRUCTION. CONDEMNATION. In the event of any material damage to or <br />destruction of the Properly or any material portion thereof or in the event of any taking or threat of taking <br />by condemnation (or any conveyance in lieu thereof of the Property or any portion thereof by anyone <br />having the power of eminent domain), Buyer shall, by written notice to Seller delivered within fifteen <br />WCSR 3614883v5 <br />
