CABARRUS COUNTY TOURISM AUTHORITY <br />Proposed Resolutions for Action by the Authority Board <br />July 22, 2008 <br />1. Adoption of bylaws. The bylaws attached to the minutes of this meeting are hereby adopted as the <br />bylaws of the Cabarrus County Tourism Authority ("Authority"). <br />2. Election of initial officers, The following persons are hereby elected as the officers of the Authority to <br />serve as such until their successors shall have been duly elected and qualified: <br />Chair Terry Crawford <br />Treasurer Garrett Jenio <br />Secretary Noelle Scott <br />President DeSales Wagster <br />3. Authorization to Proceed. The nonprofit corporation began operations on July 1, 2008 and the <br />Officers are hereby authorized to continue to administer the affairs of the Authority pursuant to the <br />requirements of Chapter 658 of the 1989 Session Laws of the North Carolina General Assembly, as <br />amended ("Enabling Legislation"), the Articles of Incorporation, the Bylaws, the resolutions of the board <br />of directors, the budget of the Authority, the North Carolina.Nonprofit Corporation Act, the North <br />Carolina Local Government Budget and Fiscal Control Act, and other and applicable state and federal <br />laws. <br />4. Corporate depository. F & M Bank, Dale Earnhardt Boulevard, Kannapolis, NC 28083, is hereby <br />approved as a depository and banking institution.for tha corporation for all purposes. <br />5. Disbursements from County to Authority and Use.of Proceeds. Chapter 658 of the 1989 Session <br />Laws of the North Carolina General Assembly, as amended ("Enabling Legislation") provides as <br />follows: "Cabarrus County shall remit one hundred percent (100%) of the net proceeds of the <br />occupancy tax to the Cabarrus County Tourism Authority established under Section 2 of this Act. As <br />used in this act, "net proceeds" means gross proceeds less the direct cost to the county of <br />administering and collecting the tax, not to exceed five percent (5°l0) of the amount collected." The <br />Officers of the Authority are hereby authorized and instructed to receive, deposit and administer such <br />funds, and any other funds the Authority receives, as required by the Enabling Legislation "only to <br />develop or promote tourism, tourist-related suppdrt services and facilities, tourist•related events, tourist- <br />related activities, or tourist attractions". <br />6. Check signing authority. All checks drawn on the accounts of the corporation must be signed by the <br />President and the Director of Finance. <br />7. Fiscal year. The fiscal year of the cdrporation shall begin on July 1 and end on June 30. <br />8. Tax exemption. The President is authorized to apply for recognition of the corporation's tax exempt <br />status to the Internal Rovenue Service and•the State.of North Carolina, <br />9. Designation of legal counsel. Gerry Hancock and the law firm of Everett, Gaskins, Hancock & <br />Stevens LLP is hereby designated as legal counsel for the Authority. <br />10. Designation of accountant. Potter and Company of Concord, North Carolina is hereby designated <br />as the accounting firm for the corporation, <br />11.Adoption of Seal. The corporate seal of the corporation, which shal{ consist of two concentric circles <br />between which is the name of the corporation and in the center which is inscribed SEAL is hereby <br />approved and adopted by the board of directors as the corporate seal of the corporation. <br />~~ <br />
