<br />the execution nor the delivery of this Interlocal Agreement by such party, <br />nor compliance by such party with its obligations under this Interlocal <br />Agreement, requires the approval of any regulatory body or any other entity <br />the approval of which has not been obtained. <br />5. To the extent permitted by law, Lessee shall and hereby agrees to <br />indemnify and hold the Lessor harmless against and from all claims, by or <br />on behalf of any person, firm, corporation or other legal entity arising from <br />the operation or management of the Demised Premises by the Lessee <br />during the Agreement Term, including any arising from: (a) any condition <br />of the Demised Premises; (b) any act of negligence of the Lessee or of any <br />of its agents, contractors or employees or any violation of law by the Lessee <br />or breach of any covenant or warranty by the Lessee hereunder; or (c) the <br />incurrence of any cost or expense in excess of those contemplated by this <br />Interlocal Agreement in the course of operating the Demised Premises by <br />the Lessee. <br />6. To the extent permitted by law, Lessor shall and hereby agrees to <br />indemnify and hold the Lessee harmless against and from all claims, by or <br />on behalf of any person, firm, corporation or other legal entity arising from <br />the operation or management of the Demised Premises by the Lessor during <br />the Agreement Term, including any arising from: (a) any condition of the <br />Demised Premises; (b) any act of negligence of the Lessor or of any of its <br />agents, contractors or employees or any violation of ]aw by the Lessor or <br />9 <br />-~ <br />
