9. This Interloca] Agreement shall be binding upon and inure to the benefit of <br />the Lessee and Lessor . <br />10. This Interlocal Agreement may not be amended, changed, modified or <br />altered without the express written consent of both Lessor and Lessee. <br />I1. Any payments due under this Interloca] Agreement, shall be due on <br />February 15`h of each year. If the date for making any payment or the last <br />day for performance of any act or the exercising of any right, as provided in <br />this Interlocal Agreement, shall not be a business day, such payment may <br />be made or act performed or right exercised on the next preceding day that <br />is a business day with the same force and effect as if done on the nominal <br />date provided in this Interlocal Agreement.. <br />12. In the event that any provision of this Interlocal Agreement, other than the <br />requirement of the Lessor to provide quiet enjoyment of the Demised <br />Premises, shall be held invalid.or unenforceable by any court of competent <br />jurisdiction, such holding shall not invalidate or render unenforceable any <br />other provision hereof. <br />13. This Interloca] Agreement may be simultaneously executed in several <br />counterparts, each of which shall be an original and all of which shall <br />constitute but one and the same instrument. <br />14. This Interlocal Agreement shall be governed by and construed in <br />accordance with the laws of the State of North Carolina. <br />11 <br />G -~"i <br />
