Good IIealth Services Inc. 4. PERMITTED USES AND DISCLOSURES a. Except ae otherwise limited in this Agreement or by other applicable law or agreement, if the Contract permits, Buainess Associate may use or disclose Protected Health Informstion to perform functiona, activities, or services for, or on behalf of, Covered Entity as specified in the Contract, provided that such use or diaclosure: 1) would not violate the Privacy Rule if done by Covered Entity; or 2) would not violate the minimum necessary policies and procedures of the Covered Entity. b. Except as otherwise limited in this Agreement or by other applicable law or agreements, if the Contract permits, Business Asaociate may use Protected Health Information as necessary for the proper management and adminiatration of the Bueinesa Asaociate or to carry out the legal reaponsibilities of the Buainess Aesociate. c. Except as otherwise limited in this Agreement or by other applicable law or agreements, if the Contract permits, Buainesa Aasociate may diaclose Protected Health Information for the proper management and adminiatration of the Business Associate, provided that: 1) diacloaures are Required By Law; or 2) Buainesa Aeaociate obtaina reasonable aseurancea from the person to whom the information is disclosed that it will remain confidential and will be used or further disclosed only as Required By Law or for the purpose for which it was diacloaed to the person, and the pereon notifies the Buaineas Asaociate of any inatances of which it is aware in which the confidentiality of the information has been breached. d. Except as otherwise limited in thie Agreement or by other applicable law or agreementa, if tKe Contract permits, Business Aaeociate may use Protected Health Information to pf~ovide data aggregation servicea to Covered Entity as permitted by 45 CFR 164.b04(A)(2)(i)(B). e. Notwithatanding the foregoing provisions, Buainesa Aasociate may not use or diacloae Protected Health Information if the uae or diaclosure would violate any term of the Contract o'r other applicable law ar agreements. 6. TERM AND TERMINATION a. Term. This Agneement ehall be effective as of the effective date atated above and ahall terminate when the Contract terminatea. b. Termination fo~ Cause. Upon Covered Entity's knowledge of a material breach by Businesa Asaociate, Covered Entity may, at its option: 1) Provide an opportunity for Bueiness Associate to cure the breach or end the violation, and terminate thia Agreement and eervicee provided by Buaineas Asaociate, to the extent permiasible by law, if Business Aasociate does not cure the breach or end the violation within the time specified by Covered Entity; Contract-HIPAA (06/04) ~". 3 Page 3 of 3
