AGREEMENT OF PURCHASE AND SALE <br />THIS CONTRACT ("Contract") made as of this _ day of September, 2007 by and between <br />SALLOUM VENTURES, LLC, a North Carolina limited liability company (hereinafter referred to as <br />"Buyer"), its successors and/or assigns, and CABARRUS COUNTY, a political subdivision of the State <br />of North Carolina, by and through its Cabarrus County Board of Commissioners (hereinafter referred to <br />as "Seller"). <br />RECITALS/STATEMENT OF PURPOSE <br />Seller owns the property listed on the tax records of Cabarrus County, North Carolina as Tax <br />Identification Parcel numbers 5620972749, 5620973931 and 5620983000, and being commonly known as <br />the former Cabarrus Bank & Trust building including the associated drive through facility and parking <br />areas. <br />Seller desires to sell and Buyer desires to buy the aforesaid property upon the terms hereinafter <br />set forth, together with all appurtenances thereunto belonging or appertaining, and all right, title and <br />interest which Seller may have in all rights-of--way, easements, roads, streets and ways located within or <br />bounding the property, and any off-site utility easements serving the property, which property and related <br />improvements, appurtenances, rights, titles and interests are collectively referred to herein as the <br />"Property". <br />The effective date (the "Effective Date") of this Contract shall be the date the last of the parties to <br />this Contract executes same as reflected under their signatures at the end of this Contract. <br />It is the purpose of this Contract to set forth the rights and responsibilities of the Seller and Buyer <br />regarding the purchase and sale of the Property. <br />CONTRACT <br />NOW, THEREFORE, in consideration of the premises as set forth in the <br />RECITALS/STATEMENT OF PURPOSE, the mutual promises hereinafer set forth, and the payment by <br />Buyer of the good faith binders referred to hereinbelow, to Seller in hand paid, the receipt and sufficiency <br />of which are hereby acknowledged by the parties, and intending to be legally bound hereby, Seller agrees <br />to sell and convey the Property and Buyer agrees to purchase and take the Property, subject to and in <br />accordance with all of the terms and conditions which follow: <br />1. SURVEY. The parties agree that the transaction contemplated hereby will be facilitated <br />by commissioning a current survey prepared in accordance with the standards of American Land Title <br />Association ("ALTA"). Seller shall commission a licensed local surveyor to undertake the preparation of <br />a current and accurate ALTA survey of all the Property as hereinabove defined, reflecting the actual <br />boundaries and such other information as is normally set forth on an ALTA survey. The aforesaid survey <br />will serve as the basis for the legal description to be used in connection with the sale contemplated <br />hereby, the deed to be delivered by Seller and related matters. The ALTA survey shall be delivered to <br />Buyer within thirty (30) days after the Effective Date. <br />2. PURCHASE PRICE AND PAYMENT: Buyer will purchase the Property for a total <br />$1,000,000.00 ("Purchase Price") payable as follows: <br />G-3 <br />
