Indemnl .The County agrees to Indemnify end save hartniess the Council, Its agents and employees from and against any and ail lose, coat, damages, expense end liability caused by the failure of the County to fully perform Its obligation under this agreement and In accordance with',its terms. 28. Changes. The Council may require changes in the work and services, which the County Is to perform hereunder. Such changes, Including any Increase or decrease in the amount of the Gounty's compensation, which are mutually agreed upon by end between the Council and the County, shall be Incorporated ih written amendments to this contract. 27. Termination of Contract for Cause. If through any cause, the County shall fall to fulfill in a timely and propOr manner its obligations under this contrect, or If the County has or shall violate any of the covenants, agreements, representations or stipulations of this contrect, the Council shall therefore have the right to terminate this contrecC by gluing written notice to the County of such termination and specifying the effective date thereof. In such event, all finished documents and other materials collected or produced under this contrect shall at fhe option of the Council, become Its property. The County shall be entitled to receive Just and equitable compensation for any work satiafeotorily performed under this contract, except to the extent such work must be duplicated In order to complete the contract. Notwithstanding the foregoing, the County shell not be relieved of liability to the Council for damages sustained by the Council by virtue of any breach of this contrect by the County and the Council me~r withhold payment of any addltlonal sums as security for payment of damages causett by the County's breach, until such time as the exact amount of the damages resulting from such breach Ia determined. 28. Termination for t^~onvenience. The Council may terminate this contrect for the convenience of the Council at any time by giving written notice to the County of such termination end specifying the date thereof, no tewor than fifteen (15) days prior to the effective date of such termination. Ind that event, all finished or unfinished documents end other materials produced or wllbcted shall, at the option of the Council, become the property of the Council. If this contrect Is• termineted by the Council ae provided In this paragraph, the County will be paid the grant reimbursement peroentage, described in paragraph 8, of the actual allowable expenses that have been Incurred by the County prior to the effective date of such termination, lase payments of compensation previously made by the Council.
