Day
Cabarrus County Manager
65 Church Street, Southeast
Concord, North Carolina 28025

Re: Fourth Amendment to Purchase and Sale Agreement ("Fourth
Amendment")

Dear John:

Enclosed please find four (4) originals of the above-captioned document. The
Fourth Amendment is identical to the Third Amendment other than for the calculation
of days involved in the extension of the Due Diligence Date and Closing. In speaking to
Allen subsequent to our meeting Wednesday, he indicated that you had mentioned a
"60 or 90" day extension. I did not hear you say "90", or I would have chosen that
option. I feel a 90-day extension to be more appropriate in light of the work that needs
to be done in our efforts to successfully conclude this transaction. Consequently, the
enclosure does provide for a 90-day extension, as opposed to one of 60 days. I hope
that you will agree. Upon your execution of all originals, please give me a call and I
will pick up two (2) of same for distribution to myself and Allen.

Should you have any questions, please advise. Otherwise, I thank you in
advance for your attention hereto.

~

Robert M. Critz

RMC/ clw

r-- 33
