<br />Keefe Commissary Network <br /> <br />COMMISSARY NETWORK AGREEMENT <br /> <br />This agreement made and entered into as of this day of , 2005, <br />by and between Keefe Supply Company and its affiliate Keefe Commissary Network, Inc., <br />("Keefe"), and Cabarrus County Jail, a correctional institution in the State of North <br />Carolina, ("Institution"). <br />Whereas, Keefe is in the business of supplying food and other related products to <br />inmate commissary departments of correctional facilities throughout the United States, <br />including Institution; and, <br />Whereas, the parties wish to enter into a Commissary Network Agreement to <br />facilitate the ordering of commissary supplies by inmates and the payment of thereof, <br />Now, thereof, In consideration of the mutual promises and conditions herein <br />contained, It is agreed between the parties: <br /> <br />1. HARDWARE AND SOFTWARE During the term of this Agreement Keefe <br />shall supply Institution with such computer equipment and software as listed in Exhibit A <br />to enable Keefe to access Keefe Commissary Network to account for inmate welfare funds <br />maintained by institution and effect purchases by inmates. During the term of this <br />Agreement, such computer terminals and software will be installed and maiutained by <br />Keefe. <br /> <br />, <br /> <br />2. PAYMENT Keefe will invoice the institution for all commissary items <br /> <br />purchased pursuant to the Commissary Network. The institution will pay such invoices in <br /> <br />accordance with Keefe's standard credit terms or determined by Keefe from time to time <br /> <br />and Institution will be responsible for seeking reimbursement from inmate _welfare funds. <br /> <br />G-I <br />
