<br />STATE OF NORTH CAROLINA <br /> <br />CONTRACT <br /> <br />THIS AGREEMENT is made and entered into this 1st day of July 2005, by and between <br />Cabarrus County Department of Social Services (hereinafter referred to as "CCDSS") a <br />North Carolina business and Good Health Services, Inc., a North Carolina corporation <br />(hereinafter referred to as "Provider"). <br /> <br />WITNESSETH <br /> <br />WHEREAS, "CCDSS" has a need for contracting In-Home Aide and Registered Nurse <br />(RN) services; and <br /> <br />WHEREAS, the Provider has employees duly certified to provide these services; <br /> <br />NOW, THEREFORE, in consideration of these premises, promises and other good and <br />valuable consideration, the receipt of which is hereby acknowledged, the parties agree as <br />follows. <br /> <br />1. Provider's Responsibilities. The Provider agrees to provide qualified In-Home aides <br />and Registered Nurses (RNs) to provide the following service on an as-needed basis: direct <br />client care. Provider and its servants, agents and employees shall: <br /> <br />A. Provide In-Home Services as directed by "CCDSS". <br /> <br />B. Provide all services in accordance with a plan of care established by "CCDSS". <br />Provider shall notify "CCDSS" as the client's condition changes, but shall not alter a <br />plan of care without prior notification by "CCDSS". <br /> <br />C. Coordinate client care, evaluate progress for those clients under its care, and <br />provide appropriate documentation of such activities. <br /> <br />D. Provide all services in accordance with: approved policies and procedures; state and <br />federal laws, rules and regulations; and currently approved methods, standards of <br />practice and codes of ethics in the medical service community. <br /> <br />E. Maintain records and reports which constitute client's records, including notes and <br />personal observations of the client's progress and notification of planned visits. <br /> <br />F. Maintain the confidentiality of all records and information in accordance with state <br />and federal laws, rules, regulations and policies of the Provider. <br /> <br />G.
