<br />not to harass, discriminate against or retaliate against any staffing employee or other
<br />employee of either party because of his or her race, national origin, age, sex, religion,
<br />disability, marital status or other category protected by law, nor shall either party cause or
<br />request the other party to engage in such discrimination, harassment or retaliation. In the
<br />event of any complaint of unlawful discrimination, harassment or retaliation by any
<br />staffing employee, "CCDSS" and Good Health Services agree to cooperate in the
<br />investigation and resolution of such complaint.
<br />
<br />S. Indemnification and Insurance.
<br />
<br />A. Indemnification. "CCDSS" and Provider shall indemnify and hold harmless one
<br />another from and against any and all claims, liabilities, damages, fines, penalties, taxes,
<br />costs and expenses, including reasonable attorneys' fees and costs of settlement, which
<br />either party may suffer, sustain or become subject to as a result of any act or omission of
<br />the other party or the other party's officers, employees, agents or servants in performing
<br />its duties hereunder
<br />
<br />B. Insurance. Provider shan procure and maintain insurance of not less than one million
<br />dollars ($1,000,000) per claim and three million dollars ($3,000,000) aggregate for
<br />professional liability , and shall maintain comprehensive general liability and such other
<br />insurance as shall be necessary to insure Provider and Provider's
<br />employees against damages arisfug from the duties and obligations of this Agreement. In
<br />addition, the provider shall procure and maintain Comprehensive General Liability
<br />insurance including Personal Injury and contractual coverage covering operations and
<br />activities under this contract of not less than one million dollars ($1,000,000) combined
<br />single limit per occurrence and three million dollars ($3,000,000) annual aggregate of
<br />Bodily and Personal Injury and Fifty Thousand Dollars ($50,000) for each occurrence of
<br />Property Damage. Copies of certificates of insurance shall be available upon renewal.
<br />
<br />6. Access to Books and Records.
<br />
<br />Provider agrees as follows: Until the expiration of four (4) years after the furnishing of
<br />any Service pursuant to this Agreement, Provider shall, upon written request, make
<br />available to the Secretary of HHS, the Secretary's duly authorized representative, the
<br />Comptroller General, or the Comptroller General's duly authorized representative, this
<br />Agreement and such books, documents, and records as may be necessary to certify the
<br />nature and extent of the cost or value of services to be performed by Provider
<br />thereunder, including but not limited to the records and reports required to be
<br />maintained by the Provider.
<br />
<br />7. HIP AA Compliance
<br />
<br />In addition to and without limitation ofthe foregoing, if and to the extent, and for as long
<br />as, required by the provisions of 42 U.S.C. 1171 et seq. enacted by the Health Portability
<br />and Accountability Act of 1996 (HlPAA) and the final regulations promulgated
<br />thereafter, as amended from time to time, each party will appropriately safeguard, in
