<br />Without limiting any right or remedy of either party provided elsewhere in this <br />Agreement or available under applicable law (including but not limited to HIP AA), either <br />party may terminate this Agreement without penalty or recourse if the party determines <br />that the other party has violated any material term of this section. In order to assure that <br />this Agreement is consistent with HIP AA, both parties agree that this section may be <br />amended from time to time upon written notice from the other party as to the provision <br />required to make this Agreement consistent with HIP AA. <br /> <br />8. Miscellaneous <br /> <br />A. Notices. All notices, payments and any other communications required to be in <br />writing shall be given either in person or by registered or certified mail, return receipt <br />requested, U.S. postage prepared, addressed as follows: <br /> <br />Name and Address <br /> <br />Name and Address: <br /> <br />Cabarrus County Dept. of Social Services <br />1303 South Cannon Blvd. <br />Kannapolis, NC 28083 <br /> <br />Good Health Services, Inc. <br />7901 Strickland Road <br />Suite 112 <br />Raleigh, NC 27615 <br /> <br />B. Governing Law. This Agreement shall be governed and construed under the laws of <br />the State of North Carolina as to interpretation, construction and performance. <br /> <br />C. Waiver. The waiver by either party of a breach of any provision of this Agreement <br />shall not operate as a waiver of any subsequent breach thereof. <br /> <br />D. Amendments. This Agreement may be amended only by written amendment <br />executed by both parties. <br /> <br />E. Binding Effect. This Agreement shall be binding upon and inure to the benefit of <br />the parties hereto and their respective successors and assigns. <br /> <br />F. Headings. The headings in this Agreement are for reference purposes only and shall <br />not affect the meaning of this Agreement. <br /> <br />G. Entire Agreement. This Agreement constitutes the entire understanding between the <br />parties and supersedes all prior agreements, either oral or in writing, with respect to <br />the subject matter hereof. <br /> <br />1. Severability. If any provision of this Agreement Or the application thereof is held <br />invalid or unenforceable, the remainder of this Agreement shall not be affected thereby. <br /> <br />6 <br />t:'~3 <br />
