CABARRUS COUNTY DEPARTMENT Of AGING LUNCHPLUS CLUB CONTRACT FOR FOOD SERVICES - FY'2005 THIS AGREEMENT entered into and becoming effective the first day of July 2004 by and between FDY, Inc., a minority-owned corporation with its principal place of business at 3401 B St. Vardell Lane, Charlotte, North Carolina, 28217 (hereinafter referred to as the "Caterer") and Cabarrus County, North Carolina, a political subdivision of the State of North Carolina, with its principal place of business at 65 Church Street, Concord, North Carolina 28025 (hereinafter referred to as the "Purchaser"); (the "Agreement"). FOOD CONTRACT SPECIFICATIONS WHEREAS, the Purchaser, on behalf of the Cabarrus County Department of Aging ("DOA"),' desires to engage the Caterer to render services in connection with the LunchPlus Club program hereinafter referred to as the "Program", provided through the Older Americans Act grant funds provided to the Purchaser through the Centralina Council of Governments Area Agency on Aging from the North Carolina Division of Aging and Adult Services and the United States Department of Health and Human Services; and WHEREAS, the Caterer is a food service management company with the demonstrated capacity and desire to supply services; NOW THEREFORE, in consideration of the premises and the mutual covenants and agreements hereinafter contained, the parties hereto agree as follows: The Caterer agrees to sell and the Purchaser agrees to buy all Purchasers' requirements for the Program according to the provisions of this Agreement. Caterer agrees not to sub-contract for the delivery of the services called for in this Agreement. This Agreement will be in effect and services will be delivered beginning July 1, 2004 and continue through June 30, 2005. This Agreement may be renewed a maximum of two consecutive one year each renewal terms, upon prior written agreement of both parties. The Purchaser will order from the Caterer approximately of 250-280 meals daily for approximately 250 serving days, depending on the availability of funding and participation levels within the Program. Caterer shall be obligated to deliver meals to four (4) LunchPlus Club sites designated by the Purchaser if funding allows these four (4) sites to remain open and any additional sites as added by the Purchaser. The Caterer will deliver meals in bulk to each LunchPlus Club site Monday through Friday during the term of this Agreement with the exception of the holidays specified below or except as provided within the terms and conditions of this Agreement.
