CABARRUS COUNTY DEPARTMENT Of AGING <br />LUNCHPLUS CLUB CONTRACT FOR FOOD SERVICES - FY'2005 <br /> <br />THIS AGREEMENT entered into and becoming effective the first day of July 2004 by <br />and between FDY, Inc., a minority-owned corporation with its principal place of <br />business at 3401 B St. Vardell Lane, Charlotte, North Carolina, 28217 (hereinafter <br />referred to as the "Caterer") and Cabarrus County, North Carolina, a political <br />subdivision of the State of North Carolina, with its principal place of business at 65 <br />Church Street, Concord, North Carolina 28025 (hereinafter referred to as the <br />"Purchaser"); (the "Agreement"). <br /> <br />FOOD CONTRACT SPECIFICATIONS <br /> <br />WHEREAS, the Purchaser, on behalf of the Cabarrus County Department of Aging <br />("DOA"),' desires to engage the Caterer to render services in connection with the <br />LunchPlus Club program hereinafter referred to as the "Program", provided through the <br />Older Americans Act grant funds provided to the Purchaser through the Centralina <br />Council of Governments Area Agency on Aging from the North Carolina Division of <br />Aging and Adult Services and the United States Department of Health and Human <br />Services; and <br /> <br />WHEREAS, the Caterer is a food service management company with the demonstrated <br />capacity and desire to supply services; <br /> <br />NOW THEREFORE, in consideration of the premises and the mutual covenants and <br />agreements hereinafter contained, the parties hereto agree as follows: <br /> <br />The Caterer agrees to sell and the Purchaser agrees to buy all Purchasers' <br />requirements for the Program according to the provisions of this Agreement. Caterer <br />agrees not to sub-contract for the delivery of the services called for in this Agreement. <br /> <br />This Agreement will be in effect and services will be delivered beginning July 1, 2004 <br />and continue through June 30, 2005. This Agreement may be renewed a maximum of <br />two consecutive one year each renewal terms, upon prior written agreement of both <br />parties. <br /> <br />The Purchaser will order from the Caterer approximately of 250-280 meals daily for <br />approximately 250 serving days, depending on the availability of funding and <br />participation levels within the Program. Caterer shall be obligated to deliver meals to <br />four (4) LunchPlus Club sites designated by the Purchaser if funding allows these four <br />(4) sites to remain open and any additional sites as added by the Purchaser. <br /> <br />The Caterer will deliver meals in bulk to each LunchPlus Club site Monday through <br />Friday during the term of this Agreement with the exception of the holidays specified <br />below or except as provided within the terms and conditions of this Agreement. <br /> <br /> <br />
