unincorporated areas of the Pitts VFD fire tax district which lie to the north of Interstate 85 to become a part of the Odell VFD fire tax district. ~ 3. Fire Protection Service. Concord will, by contract with the County, provide fire protection service to those areas which are presently 1) in the Pitts VFD fire tax district, 2) south of Interstate 85, and 3) not yet incorporated into any municipality, along with providing such back-up fire protection service to other areas as was provided by Pitts VFD under its contract with the County for fire protection service. 4. Compensation. Concord will charge the County the sum of One Dollar ($1.00) per year for up to ninety-nine (99) years as compensahion for providing the fire protection service set forth herein. 5. Property Conveyance. Pitts VFD will dissolve as a corporate entity and shall convey, at no charge, all of its real estate, its building, and its rolling stock (except for the Suburban vehicle used as a First Responder unit), its computer, and the equipment stored on the rolling stock (except for the Suburban) to Concord. 6. Specific Property. The Suburban shall be given to Concord specifically for use as a First Responder unit vehicle, and specifically for use in the general area of the present Pitts VFD fire tax district. If the vehicle is not used by Concord as a First Responder unit vehicle within the general area of the Pitts VFD fire tax district, then Concord agrees that the vehicle will become the property of the Cabarrus Rescue ~quad. 7. Future Disposition. As the vehicles covered in Paragraph 4 to be given to Concord under this Agreement are replaced and no longer needed by Concord for fire protection, Concord agrees to donate each individual vehicle to the volunteer fire department within Cabarrus County with the smallest tax base which has not previously received such surplus vehicles from Concord under this Agreement. 8. Community Gatherings. The real estate and building conveyed to Concord shall remain reasonably available for use as a site for community gatherings and meetings. Such meenings shall include, but shall not be limited to, such meetings as Lions Club, Community Associations, EMS training, and other civic and community groups. 9. Operating Agreement. Although the real estate and building shall be conveyed to Concord, Cabarrus County shall also utilize the facility as set forth hereafter and as may be further agreed by Concord and the County. For that reason, Concord and the County shall join in an operating agreement for the use of the facility that shall take into account the prorated use of the facility and set a cost-sharing formula for the payment of
