C. "CCDSS" and Good Health Services affirm and agree that they are equal employment opportunity employers and are in full compliance with any and all applicable anti-discrimination laws, rules, and regulations. "CCDSS" and Good Health Services agree not to harass, discriminate against or retaliate against any staffing employee or other employee of either party because of his or her race, national origin, age, sex, religion, disability, marital status or other category protected by law, nor shall either party cause or request the other party to engage in such discrimination, harassment or retaliation. In the event of any complaint of unlawful discrimination, harassment or retaliation by any staffing employee, "CCDSS" and Good Health Services agree to cooperate in the investigation and resolution of such complaint. 5. Indetnnification and Insurance. A. Indemnification. "CCDSS" and Provider shall indemnify and hold harmless one another from and against any and all claims, liabilities, damages, fines, penalties, taxes, costs and expenses, including reasonable attorneys' fees and costs of settlement, which either party may suffer, sustain or become subject to as a result of any act or omission of the other party or the other party's officers, employees, agents or servants in performing its duties hereunder B. Insurance. Provider shall procure and maintain insurance of not less than one million dollars ($1,000,000) per claim and three million dollars ($3,000,000) aggregate for professional liability, and shall maintain comprehensive general liability and such other insurance as shall be necessary to insure Provider and Provider's employees against damages arising from the duties and obligations of this Agreement. In addition, the provider shall procure and maintain Comprehensive General Liability insurance including Personal Injury and contractual coverage covering operations and activities under this contract of not less than one million dollars ($1,000,000) combined single limit per occurrence and three million dollars ($3,000,000) annual aggregate of Bodily and Personal Injury and Fifty Thousand Dollars ($50,000) for each occurrence of Property Damage. Copies of certificates of insurance shall be available upon renewal. 6. Access to Books and Records. Provider agrees as follows: Until the expiration of four (4) years after the furnishing of any Service pursuant to this Agreement, Provider shall, upon written request, make available to the Secretary of HHS, the Secretary's duly authorized representative, the Comptroller General, or the Comptroller General's duly authorized representative, this Agreement and such books, documents, and records as may be necessary to certify the nature and extent of the cost or value of services to be performed by Provider thereunder, including but not limited to the records and reports required to be maintained by the Provider. 4
