<br />amounts and shall deliver to the COUNTY the policy or policies reflecting the following
<br />coverage prior to commencing work. The policy or policies shall include an "all states"
<br />endorsement. The liability limits shall not be less than:

<br />Property Damage Limits
<br />General Liability Products and Completed Operations
<br />Aircraft Liability
<br />Auto Liability
<br />Error & Omissions

<br />C, The COUNTY agrees to mitigate its damages, should any damages arise in the course of
<br />this Agreement, to every extent possible, and to take such reasonable measures to prevent
<br />injury or damages within its jurisdiction as any reasonable prudent individual or entity
<br />would take,
<br />D. State sales tax shall be added to invoices for those items for which NC Department of
<br />Revenue requires, Sales tax is not included in any of the fees described herein,
<br />E, In as much as virtual damages for delay would be extremely difficult to determine, it is
<br />agreed that should the CONTRACTOR fail to complete this project by the final
<br />completion date, then the CONTRACTOR shall pay to the COUNTY liquidated damages
<br />of one hundred dollars ($100) per calendar day (inclusive of any agreed upon time..
<br />extensions) until final delivery is made.
<br />
<br />VIII, ASSIGNMENT
<br />The CONTRACTOR shall not assign its contract rights under this Agreement or any part thereof,
<br />nor delegate any performances hereunder, nor subcontract without first obtaining the COUNTY's
<br />written approval.
<br />
<br />IX. WAIVER AND MODIFICATION
<br />No waiver, modification or cancellation of any term or condition of this Agreement shall be
<br />effective unless made in writing and signed by authorized representatives of each party. Nor shall
<br />any waivers be deemed to excuse the performance of any .act other than those specifically referred
<br />to in said written notice of waiver,
<br />
<br />X, BENEFIT
<br />This Agreement shall be binding upon and it shall inure to the benefit of the parties, their legal
<br />representatives, successors, and assigns, provided that the provisions with respect to assignment and
<br />delegation therein are fully complied with.
<br />
<br />XI. COMPLIANCE WITH LAW
<br />CONTRACTOR agrees that the performance of any work under this Agreement shall comply with
<br />all laws, rules, regulations, and ordinances, proclamations, demands, directives, executive orders, or
<br />other requirements of any government and or all subdivision thereof which now govern or may
<br />hereafter govern the performances contemplated under this Agreement, including, but not limited
<br />to, the provisions of the Fair Labor Stan,dardsAct of 1938, equal employment laws, and any other
<br />applicable law.
