NCSU SUBCONTRA CT # 2001-1 748-2 7 WITNESSETH This Agreement is made b'y amd between NORTH CAROLINA STATE UNIVERSITY for its College of Agriculture and Life Sciences, hereinafter referred to as NCSU, and CABARRUS COUNTY, hereinafter referred to as SUBCONTRACTOR. WHEREAS, NCSU has been awarded a contract by the N. C. Department of Health and Human Services (NCDHHS), for conducting a research project entitled "School-.4ge Care in North Carolina - Increasing.4 vailability and Impro~,ing Quality," and WHEREAS, NCSU can best accomplish the tasks set forth in its agreement with the NCDHHS by associating with SUBCONTRACTOR as set forth herein; NOW THEREFORE, the parties mutually agree as follows: I. STATEMENT OF WORK: The SUBCONTRACTOR will exert its best efforts to perform the work as described in the proposal entitled, "2001-02 Rated License Project Grants (Afierschool Programs)" submitted to NCSU by SUBCONTRACTOR and made a part of this Subcontract as Appendix A. II. INCORPORATION OF APPLICABLE PROVISIONS OF PRIME AWARD: Ao All applicable provisions comained in the contract between the NCDHHS and NCSU, which is made a part of this Subcontract as Appendix B, shall be binding upon the SUBCONTRACTOR. In addition, to the extent it is not inconsistent with the law, the SUBCONTRACTOR further agrees to comply with the requirements and stm~dards of all OMB Circulars applicable to this Agreement. Bo With respect to applying terms and conditions found in the prime agreement (Appendix B) to the parties to this Subcontract, unless the context clearly indicates otherwise, the word "Division" shall refer to NCSU m~d the word "Contractor" shall refer to SUBCONTRACTOR. It is the intent of the parties that this Subcontract shall not contain anything inconsistent or to-the Contrary with the Prime Agreement. III. PERIOD OF PERFORMANCE: performance under this Agreement shall be accomplished during the "SUBCONTRACT PERFORMANCE PERIOD" set forth on page 1 of this Agreement, unless the period is changed by written modification in accordance with Article XXI hereto. IV. ESTIMATED cOsTs: A. This Agreement is issued as a Cost Reimbursement Subcontract.
