consultants directly related to the Project. <br /> <br />11.5 ADDITIONAL PROVISIONS <br />11.5.1 If the Basic Services covered by this Agreement have not been completed within seventeen ( 17 ) months of the date <br />hereof, through no fault of the Architect, extension of the Architect's services beyond that time shall be compensated as provided <br />in Subparagraphs 10.3.3 and I 1.3.2. <br /> <br />11.5.2 Payments are due and payable thirty ( 30 ) days from the date of the Architect's invoice. Amounts unpaid thirty ( 30 ) <br />days after the invoice date shall bear interest at the rate entered below, or in the absence thereof at the legal rate prevailing from <br />time to time at the principal place of business of the Architect. <br />(Insert rate of interest agreed upon.) <br />Prime plus one percent prevailing at First Union Bank. <br /> <br />(Usury laws and requirements under the Federal Truth in Lending Act, similar state and local consumer credit laws and other regulations at the Owner's and <br />.4rchitect's principal places of business, the location of the Project and elsewhere may affect the validity of this provision. Specific legal advice shouM be <br />obtained with respect to deletions or modificationx, and also regarding requirements such as written disclosures or waivers.) <br /> <br />11.5.3 The rates and multiples set forth for Additional Services shall be adjusted in accordance with the normal salary review <br />practices of the Architect. <br /> <br />ARTICLE 12 OTHER CONDITIONS OR SERVICES <br /> (Insert descriptions of other services, identify .4dditional Services included within Basic Compensation and modifications to the payment and compensation terms <br /> included in this Agreement.) <br /> 12.1 The Architect shall maintain throughout the period of the Project. and for a period of three years thereafter, standard errors <br /> and omi.qsions insurance in an amount and with an insurance company satisfacto~ to the Owner. The Architect shall maintain <br /> insurance coverage for commercial general liability, automobile liabili _ty and workers' compensation in form and amounts <br /> satisfactory to.tJ;te Owner. The Architect shall ensure that any and all consultantz engaged or employed by the Architect carry_ <br /> similar insurance with reasonably prudent limits and coverages in light of the services to be rendered by such consultams. The <br /> Architect shall subn~t to the owner proof of insurance in amounts satisfacto~ to the Owner and. upon the Owner's request, shall <br /> promptly furnish copies of all insurance policies to the Owner. The insurance policies shall incorporate a provision for giving <br /> written notice to the owner at least 30 days prior to any cancellation, non-renewal or material modification of the policies. If the <br /> Architect's procuring insurance as specified herein becomes impossible or unreasonably expensive, in the Architect's jud_m'nent. <br /> the Architect may presem to the Owner for its consent an alternative (which may include a self-insurance pro?am) that will <br /> secure to the Owner the same protections as specified herein, and the Owner's consent to such alternative, although in the Owner's <br /> sole discretion, shall not be unreasonably withheld. Without limiting any other provision in this Agreement, failure of the <br /> Architect to comply with this paragraph 12.1 shall be cause for termination. <br /> <br />12.2 To the fullest extent permitted by law, th~ Architect agrees to indemnify_, hold hanule~s, protect and defend the Owner and <br />the Owner's agents, representatives and affiliated entities against any and all claims, loss. liability_, damage, costs and expenses. <br />including reasonable attorneys' fees, occurring as a result of or due to actionable negligence of th~ Architect, its agents. <br />consultants, employees or representatives. <br /> <br />12.3 The Architect shall be responsible for all services provided ~m~ter this Agreemen~ when said services are provided directly by <br />the Architect or by any consultants directly employed by the Architect. The Architect will perform all duties and services and <br />make all decisions called for hereunder promptly and without unreasonable delays and will give the Project such priority as is <br />necessary to cause the Architect's ~ervices hereunder to be timely and properly performed. <br /> <br />12.4 Based upon the Project Schedule as approved by the Owner, the Architect shall submit, for the Owner's fmancial planning, a <br />schedule of pa_vments indicating the Architect's invoice dates and amounts. <br /> <br />12,5 The following are included in Basic Services: <br /> <br />12,5.1 Providing an allowance of twenty (20) completed sets of Drawings. specifications and other documems, used for <br />bidding purposes. Of the twenty.
