1.2 Extensions. The County will have the option of negotiating an extension of <br /> a minimum of up to two, twenty-five (25) year extensions to the original term of this <br /> Lease. <br /> <br /> 1.3 Termination. Upon the expiration or other termination of this Lease, the <br /> County shall surrender the Property to the Club in good condition, ordinary wear and <br /> tsar excepted, and the County shall be entitled to remove its personal property and <br /> fixtures, provided such is accomplished in a manner not to adversely affect the <br /> condition of the Property. If removal requires damage to the Property, the County <br /> shall promptly repair the damage covered by the removal. Personal property and <br /> fixtures belonging to the County shall include but not be limited to, any county-owned <br /> assets. Upon expiration or other termination of this Lease, the Club may keep any <br /> permanent building structures on the Property but must accept these structures in 'as <br /> is" condition. <br /> Article II. Property Development <br /> <br /> 2.0 Design. The County and the Club shall jointly prepare a Master Plan for the <br /> design and development of the recreational facilities on the Property, which shall be <br /> attached hereto as Exhibit A and incorporated as if fully set forth herein. <br /> Implementation of the Master Plan is subject to the availability of County funds for <br /> such purposes. The Master Plan may be revised from time to time upon mutual agreement <br /> of the parties hereto and as permitted by the County .budget a~located for such <br /> purposes. <br /> <br /> 2.1 Property Development. The County will be authorized to maks certain <br />improvements to the Property as necessary for enhancement of the current public camp <br />and recreational facility on tbs Property, which may include active and passive <br />facilities commonly found in such facilities locally, and may include some or all of <br />the following facilities and activity areas: baseball/basketball areas, <br />softball/soccer fields, restroom facilities, concession facilities, picnic shelters, <br />volleyball courts, horseshoe pits, playground, walking/jogging trail systems and <br />parking facilities and other property improvements incidental to the use of a public <br />recreational facility and camp. The County shall maintain the existing pool facility, <br />but shall not be obligated to replace the pool facility in the event the useful, <br />reasonable life of the pool facility expires. The County agrees to maintain the <br />existing pool fagility and make reasonable and necessary repairs to the existing pool <br />facility, up to an aggregate cost of $75,000.00 over the term of the Lease and any <br />extensions thereof and no more than $25,000.00 in any one lease year. If repairs are <br />needed that would exceed these amounts, the County may, at its discretion, cease to <br />operate the pool. Any costs exceeding an aggregate of $75,000.00 for repairs and <br />maintenance to the existing pool -facility, or replacement of the existing pool <br />facility, shall be the sole and exclusive responsibility of the Club~ If such an event <br />occurred, the Club may raise the money necessary to complete the needed repairs or <br />construct a new pool, in which case the County would continue to operate and maintain <br />the pool. Efforts to establish a redesign plan and development schedule for the <br />Property will be commenced within 2 months following execution of this agreement.' <br />Allowing for community input and interaction among governmental agencies inclusive of <br />permitting requirements, it is expected that the initial prOpOsed r~design plan and <br />development schedule for the Property can be completed within 12 months. <br /> <br /> 2.2 Review of Development. During the Property redesign .and development <br />process, County and the Club representatives shall meet to review and evaluate <br />redesign and development proposals prior to incorporating such proposals into the <br />final plans, it being the intention of the parties that the County and the Club, <br />through their respective elected boards, shall jointly approve the Property concept <br />plan and development schedule and significant modifications thereof. <br /> <br /> 2.3 Puture Development. It is the intention of the parties that the quality of <br />the Property amenities and its development shall continue as an ongoing County <br />improvement project throughout the term of the Lease and any extensions thereof, <br />provided the County budget permits such improvements. <br /> <br /> 2.4 Reversion of Property. If the Property shall cease to be used by the County <br />as a recreational facility for the benefit of its citizens, the Property shall, upon <br />the elapse of twelve months from date the Property shall cease to be so used, <br />automatically revert to =he possession of the Club or its designated successor or <br />assign. However, any non-use of the Property related to the out-of-season months of <br />the year or due to construction shall not be deemed abandonment of the Property by the <br />County. <br /> Article III. Property Operations <br /> <br /> 3.0 Property Management. The County shall manage, operate and supervise use of <br />the ~roperty and facilities contained therein for the benefit of the public subject to <br />such joint use agreement as may be executed between the parties or third parties. <br /> <br /> 3.1 Property Operations. The County shall provide, promote, administer and <br />operate recrpational facilities, camp and other programs and services on the Property <br />consistent with operational months and hours. The Club shall have the continuing and <br />uninterrupted right to conduct summer day camps on the Property for the entire term of <br />this Agreement. The County shall not schedule any events or construction that would <br />unreasonably interfere with such day camp programs. The County will not operate a <br />summer day camp on the Property unless the Club ceases to operate its summer day camp <br />there.
