ARTICLE III <br />BOARD OF DIRECTORS <br /> <br /> Section 1. Duties. The government of the Corporation shall be vested <br />in the Board of Directors. The Board of Directors shall have and exercise such <br />powers and duties as may, from time to time, be prescribed by the North Carolina <br />Nonprofit Corporation Act and these Bylaws. <br /> <br /> Section 2. Composition, Election and Eliqibility. The directors <br />constituting the Board of Directors shall be elected as follows: <br /> <br />Two members shall be elected,' from time to time, from the Cabarrus County <br />Board of Commissioners. <br /> <br />Six members at large shall be recommended by the Economic Development <br />Board of Directors for approval by the Board of County CommisSioners. <br /> <br />One member shall be elected by the Cabarrus Regional Chamber of Commerce <br />from its membership. The member so elected shall serve a three-year term and <br />shall be eligible to be elected to a second consecutive, three-year term. <br />Thereafter, such member shall not be re-elected director by the Cabarrus <br />Regional Chamber of Commerce for at least one year, provided, however, if any <br />such member shall cease to be a member in good standing of the Cabarrus <br />Regional Chamber of Commerce or to be employed by a member in good <br />standing of the Cabarrus Regional Chamber of Commerce, his or her term shall <br />terminate concurrent therewith. <br /> <br />The following and others as may from time to time be appointed shall comprise <br />the Technical Services Panel. The duties of this Panel are to advise the <br />Corporation on matters related to the delivery of services crucial to the economic <br />well being of the County: <br /> <br />· Concord City Manager <br />· Kannapolis City Manager <br />· Harrisburg Town Administrator <br /> .. <br />· Cabarrus County Manager <br />· CEO of the Cabarrus Regional Chamber of Commerce <br />· The President, or his designee, of Rowan-Cabarrus Community College <br />· The Manager of the Cabarrus County Employment Security Commission <br />· The Executive Director of the Cabarrus County Water and Sewer Authority <br />· Superintendent of the Cabarrus County School System <br />· Superintendent of the Kannapolis School System <br /> <br />April 10, 2002 <br /> <br /> <br />
