The County enters into this Agreement on its own behalf and on behalf of the City <br />and each Town, pursuant to its authority under the above described statutes, laws, <br />and ordinances, and pursuant to its interlocal agreement with the City, and its <br />interlocal agreement with each Town. <br /> <br />The grant of these rights is subject tO the condition that the Collector comply with all <br />requirements of the Agreement. <br /> <br />2.2 The Collector shall provide, directly or through subcontractors, all labor, <br />materials, equipment, skills, tools, machinery, supervision, facilities, and other services to <br />provide the Collection Services required herein. The Collector shall pay, at its expense, <br />all costs, expenses, license fees, and charges required to perform the Collection Services <br />including any disposal charges at the Disposal Site. <br /> <br />The Collector shall comply with all applicable local, state, and federal rules and' <br />regulations. <br /> <br />2.3 The relationship between the parties shall be limited to performance of this <br />Agreement solely in accordance with its terms. No party shall have any responsibility <br />whatsoever with respect to services provided or contractual obligations assumed by the <br />other party and nothing in this Agreement shall be deemed to constitute either party a <br />partner, agent, or legal representative of the other party or to create any fiduciary <br />relationship. The Collector's status shall be that of an independent contractor. <br /> <br />SECTION 3 - INDEMNIFICATION <br /> <br />The Collector will indemnify and hold harmless the County and its agents and employees <br />from and against all liabilities, claims, damages, losses, and expense including attorney's <br />fees arising out of or resulting from the performance of the work, providing that any such <br />liability, claim, damage, loss or expense (a) is attributable to bodily injury, sickness, <br />disease, or death, or to injury to or destruction of tangible property (other than the work <br />itself) including the loss of use resulting therefore and (b) is caused in whole or in part by <br />a negligent act or omission.of the Collector, any subcontractor, anyone directly or <br />indirectly employed by any of them or anyone for whose acts any of them may be liable, <br />regardless of whether or not it is caused in whole or in part by a party indemnified <br />hereunder. In any and all claims against the County or any of its agents or employees, by <br />an employee of the Collector, any subcontractor, anyone directly or indirectly employed <br />by any of them or anyone for whose acts any of them may be liable, the indemnification <br />obligation shall not be limited in any way as to the amount or type of damages, <br />compensation or benefits payable by or for the Collector or any subcontractor under <br />workmen's compensation acts, disability benefits acts or other employee benefit acts. <br /> <br />SECTION 4 - TERM <br /> <br />The term of this Agreement shall be for five (5) years fi.om January 1, 1998 through <br />December 31, 2002.
