Convenience Charge. The amount of Principal's Royalties shall be scaled dependent on the <br />Ticket price, as set forth on Exhibit 2. <br /> <br /> (d) Credit Card Sales: Principal hereby authorizes Ticketmaster to accept <br />American Express, MasterCard, Visa, Discover and Diner's Club charges (and any other credit <br />card, debit card or other electronic method of payment (e.g., prepaid accounts such as "rocket <br />cash") (collectively "credit cards") which may hereafter be approved by Ticketmaster) in <br />cmmection with sales of Tickets purchased from Ticketmaster with credit cards. Ticketmaster <br />agrees to absorb the credit 'card company charge relative to the Convenience Charge and Order <br />Processing Fee, and Principal agrees to absorb the credit card company charge relative to the <br />Face Value of Tickets sold by Telephone Sales and Internet Sales by such credit cards in an <br />amount equal to 3.0% of the Face Value of all Tickets sold by such credit cards, provided that at <br />Principal's election, such credit card charge on the Face Value of tickets sold through telephone <br />Sales or Internet Sales may be added to the Convenience Charge, rounded up to the nearest <br />$0.05. Such rate is subject to automatic increase due to increases to the interbank rates. <br />Ticketmaster reserves the right to invoice Principal for any credit Card chargebacks incurred with <br />respect to any Attraction. Payment shall be due in full immediately upon receipt of such invoice. <br /> <br /> (e) Order Processing Fee: Ticketmaster shall be entitled to assess and <br />receive a handling charge in the amount of $3.00 per order ("Handling Charge") from each <br />person ordering Tickets by Internet Sales and Telephone Sales. The Handling Charge may be <br />increased from time to time consistent with Ticketmaster's handling charge for similar facilities <br />and is subject to automatic increase equal to any increase (rounded up to the nearest $0.05) to the <br />postal service rates. <br /> <br /> (f) Season and Subscription Accounts: Ticketmaster shall provide Principal <br />with Ticketmaster's season Ticket package for Attractions, including invoicing, account storage, <br />record maintenance and similar services. In consideration for such service, Principal shall pay <br />Ticketmaster the sum of Three Dollars ($3.00) per annum for each season Ticket account stored <br />on the TM System. Such payment shall be paid in quarterly installments, when invoiced. <br /> <br /> (g) Sponsorship Allowance: Principal shall be entitled to receive an <br />advertising, promotion and sponsorship allowance (the "Sponsorship Allowance") from <br />Ticketmaster in the amount set forth below, in the event Ticketmaster sells a certain minimum <br />number of tickets through Outlet, Internet and Telephone Sales on behalf of Principal during <br />each Contract Year of the term of this agreement. The Sponsorship Allowance shall be used by <br />Principal for advertising and/or sponsorships with respect to sales of Tickets to Attractions at the <br />Facility.
